Modern Slavery Act. The Supplier represents and warrants that neither the Supplier nor any of its officers, employees or other persons associated with it:
Modern Slavery Act. The Licensee shall (and shall procure that any persons associated with it engaged in the performance of this Agreement including its Affiliates and Sub-licensees shall) comply with all applicable laws and codes of practice relating to anti-slavery including the Modern Slavery Xxx 0000. Such compliance shall include ensuring that all reasonable steps are taken to ensure that all parties associated with the Development, manufacture and commercialisation of the Licensed Products comply with all applicable laws and codes of practice relating to anti-slavery including the Modern Slavery Xxx 0000.
Modern Slavery Act. In performing its obligations under this Agreement, the Supplier shall comply with all Applicable Anti-Slavery and Human Trafficking laws, statutes, regulations and codes from time to time in force including the Modern Slavery Act 2015. The Supplier shall ensure that any contracts with sub-contractors require compliance with such laws.
Modern Slavery Act. The Sub-Contractor warrants it is aware of the Modern Slavery Xxx 0000 (Cth) and will not act (whether by its employees, contractors or agents) in any way that would negatively impact or cause to the Contractor to provide a false or misleading ‘modern slavery statement’.
Modern Slavery Act. 19.1 Each party shall:
19.1.1 comply with all applicable laws, regulations, codes and sanctions relating to the Modern Slavery Act 2015 (“Relevant Requirements”);
19.1.2 not engage in any activity, practice or conduct which would constitute an offence under the Modern Slavery Act 2015; and
19.1.3 have and shall maintain in place throughout the term of this Agreement its own policies and procedures, including but not limited to adequate procedures under the Modern Slavery Act 2015, to ensure compliance with the Relevant Requirements and will enforce them where appropriate.
Modern Slavery Act. 12.1 The Supplier warrants that:
(a) neither the Supplier nor any of its officers, employees, agents or subcontractors has:
(i) committed an offence under the Modern Slavery Act 2015 (a “MSA Offence”);
(ii) been notified that it is subject to an investigation relating to an alleged MSA Offence or prosecution under the Modern Slavery Act 2015;
(iii) is aware of any circumstances within its supply chain that could give rise to an investigation relating to an alleged MSA Offence or prosecution under the Modern Slavery Act 2015;
(b) it shall comply with the Modern Slavery Act 2015;
(c) it shall notify Customer immediately in writing if it becomes aware or has reason to believe that it, or any of its officers, employees, agents or subcontractors have breached or potentially breached any of the Supplier’s obligations under this clause 12.
Modern Slavery Act. 14.1. The Supplier undertakes, warrants and represents that it:
14.1.1. has not, nor any of its officers, employees, agents or sub-contractors has committed an offence under the Modern Slavery Act 2015 (MSA Offence);
14.1.2. has not been notified that it is subject to an investigation relating to and alleged MSA Offence or prosecution under the Modern Slavery Act 2015; or
14.1.3. is not aware of any circumstances within its supply chains that could give rise to an investigation relating to an alleged MSA Offence or prosecution under the Modern Slavery Act 2015;
14.1.4. shall comply with the Modern Slavery Act 2015; and
14.1.5. shall notify the Client immediately in writing if it becomes aware or has reason to believe that any breach of this Clause 14 has occurred.
14.2. Any breach of this Clause 14 by the Supplier shall be deemed a material breach of the Agreement.
Modern Slavery Act. 26.1 In performing their obligations under the Agreement, the parties shall comply with all applicable anti-slavery and human trafficking laws, statutes, regulations from time to time in force including the Modern Slavery Act 2015 and maintain throughout the term of this Agreement its own policies and procedures to ensure its compliance.
26.2 The parties shall not engage in any activity, practice or conduct that would constitute an offence under sections 1, 2 or 4, of the Modern Slavery Act 2015 if such activity, practice or conduct were carried out in the UK.
Modern Slavery Act. 27.1 The Supplier shall:
(a) comply with all applicable anti-slavery and human trafficking laws, statutes, regulations from time to time in force including but not limited to the Modern Slavery Act 2015;
(b) notify ACE as soon as it becomes aware of any actual or suspected slavery or human trafficking in a supply chain which has a connection with this Agreement; and
(c) ensure that any Subcontractor is subject to provisions which are at least as onerous as those in this clause 27.
27.2 The Supplier represents and warrants that it not has been convicted of any offence involving slavery and human trafficking; nor has it been the subject of any investigation, inquiry or enforcement proceedings regarding any offence or alleged offence of or in connection with slavery and human trafficking.
Modern Slavery Act. Each Party shall comply with its obligations under the Modern Slavery Act 2015 at all times.
