Mutual Promotion. It is understood that either party in this agreement may issue a press release (joint or otherwise) announcing the execution of this Agreement. The parties agree to consult with each other reasonably and in good faith with respect to the text and timing of such press releases prior to the issuance thereof, provided that a party may not unreasonably withhold consent to such releases. Each party agrees to review each press release within forty-eight (48) hours after receiving the press release from the other party. In addition, following the initial press release announcing this Agreement, either party shall be free to disclose, without the other party’s prior written consent, the existence of this Agreement, the identity of the other party and those terms of this Agreement that have already been publicly disclosed in accordance herewith.

Mutual Promotion. (a) Each of Astellas and Zogenix shall commence Detailing the Product in accordance with this Agreement no later than the later of (i) January 25, 2010, and (ii) [***] following achievement by Zogenix of the milestone set forth in Section 7.1(b)(iv). The Parties agree to cooperate with each other in good faith in furtherance of the first sentence in this Section 4.3(a). (b) Neither Party shall be prohibited from undertaking Promotional activities in addition to those contemplated to be undertaken by such Party pursuant to the then-current Commercial Plan (or that would require such Party to bear expenses in excess of the amounts required to be borne by such Party pursuant to the then-current Base Brand A&P Budget), provided that such excess activities are consistent with the then-current Commercial Plan and approved in advance by the JSC. Notwithstanding the foregoing, in no event shall a Party become obligated to participate in activities in addition to those contemplated in the then-current Commercial Plan or incur amounts in excess of those required to be borne by such Party pursuant to the then-current Base Brand A&P Budget unless so required pursuant to a duly updated Commercial Plan or Base Brand A&P Budget. *** Certain information on this page has been omitted and filed separately with the Commission. Mutual Promotion. 9.1 Each Party shall provide the other with a commercially reasonable quantity of its marketing materials to best enable the other Party's sales and marketing teams to familiarize themselves with, and promote its Services and/or Quik Hire Services, as applicable. If the Parties determine it to be mutually beneficial, they shall develop joint materials to promote both Parties' offerings with the costs of any such materials to be mutually agreed upon between the Parties. Neither Party shall create materials that refer to the other Party's offerings without first obtaining approval of said materials from the other Party. 9.2 The Parties shall consult with each other on at least an annual basis to review the effectiveness of the cross-promotion activities and to discuss, where applicable, other opportunities that might be available for the mutual benefit of the Parties.
Mutual Promotion. Considering certain geographical and thematic advantages of each Party, the Parties will support each other by utilizing and leveraging the other Party’s existing network to mutual benefit. Such support may include, but is not limited to, assistance in promoting and endorsing programs and projects through promotional activities, and potential joint actions in the Parties’ annual events and conferences, such as the ECSA Annual Conference and the ENoLL Open Living Labs Days Conference.

  • Mutual Negotiations This Agreement and the other Transaction Documents are the product of mutual negotiations by the parties thereto and their counsel, and no party shall be deemed the draftsperson of this Agreement or any other Transaction Document or any provision hereof or thereof or to have provided the same. Accordingly, in the event of any inconsistency or ambiguity of any provision of this Agreement or any other Transaction Document, such inconsistency or ambiguity shall not be interpreted against any party because of such party’s involvement in the drafting thereof.

  • Commercialization Intrexon shall have the right to develop and Commercialize the Reverted Products itself or with one or more Third Parties, and shall have the right, without obligation to Fibrocell, to take any such actions in connection with such activities as Intrexon (or its designee), at its discretion, deems appropriate.

  • Development and Commercialization Subject to Sections 4.6 and 4.7, Fibrocell shall be solely responsible for the development and Commercialization of Fibrocell Products and Improved Products. Fibrocell shall be responsible for all costs incurred in connection with the Fibroblast Program except that Intrexon shall be responsible for the following: (a) costs of establishing manufacturing capabilities and facilities in connection with Intrexon’s manufacturing obligation under Section 4.6 (provided, however, that Intrexon may include an allocable portion of such costs, through depreciation and amortization, when calculating the Fully Loaded Cost of manufacturing a Fibrocell Product, to the extent such allocation, depreciation, and amortization is permitted by US GAAP, it being recognized that the majority of non-facilities scale-up costs cannot be capitalized and amortized under US GAAP); (b) costs of basic research with respect to the Intrexon Channel Technology and Intrexon Materials (i.e., platform improvements) but, for clarity, excluding research described in Section 4.7 or research requested by the JSC for the development of a Fibrocell Product or an Improved Product (which research costs shall be reimbursed by Fibrocell); (c) [*****]; and (d) costs of filing, prosecution and maintenance of Intrexon Patents. The costs encompassed within subsection (a) above shall include the scale-up of Intrexon Materials and related active pharmaceutical ingredients for clinical trials and Commercialization of Fibrocell Products undertaken pursuant to Section 4.6, which shall be at Intrexon’s cost whether it elects to conduct such efforts internally or through Third Party contractors retained by either Intrexon or Fibrocell (with Intrexon’s consent).

  • Negotiation Teams Neither party in any negotiations shall have any control over the selection of the bargaining representatives of the other party.
