NFL Rules and Regulations. TeamCo has delivered to the Authority a true, complete, and accurate copy of such portion of the NFL Rules and Regulations that are relevant to the transactions contemplated herein and in the other Project Documents.
NFL Rules and Regulations. A true, correct, and complete copy of the NFL Rules and Regulations as in effect as of the Effective Date and all subsequent amendments and modifications thereof shall be made available to the Authority by TeamCo, which shall be held confidential to the extent allowable under the laws of Nevada, including the Act.
NFL Rules and Regulations. The constitution and bylaws of the NFL and the articles of association and bylaws of the NFL Management Council, including any amendments to such documents and any interpretations of such documents issued from time to time by the NFL Commissioner; all rules, regulations, practices, and resolutions of the NFL or the NFL Management Council; any existing or future agreements entered into by the NFL or the NFL Management Council; and such other rules or policies as the NFL, the NFL Management Council or the NFL Commissioner may issue from time to time that are within the issuing party’s jurisdiction and including the custom and practice thereunder.
NFL Rules and Regulations. StadCo and the Bills represent and warrant to each of the County and ECSC that (a) the Stadium Agreements comply with the NFL Rules and Regulations as of the Effective Date, including those provisions relevant to franchise transfer/relocation, home territory, team ownership, team/owner debt limitations and scheduling of games, and (b) the NFL has approved the Stadium Agreements. StadCo and the Bills agree that in the event any relevant provision of the NFL Rules and Regulations is hereafter amended or modified in such a manner as to materially and adversely impact the ability of StadCo and/or the Bills to perform their material obligations hereunder, StadCo and/or the Bills shall notify the County and ECSC of such amendment or modification and StadCo, the Bills, the County and ECSC shall use commercially reasonable efforts to discuss amendments to the Stadium Agreements as would put the Parties in substantially the same position under the Stadium Agreements as existed prior to such amendment or modification of the NFL Rules and Regulations. StadCo shall be responsible for any and all reasonable out-of-pocket costs incurred by the County and ECSC in connection with the negotiation and execution of such amendments to the Stadium Agreements.
NFL Rules and Regulations. The Constitution and Bylaws of the NFL, including, without limitation, all resolutions, rules and policies adopted and/or promulgated thereunder, and the Articles of Association and Bylaws of the NFL Management Council, including any amendments to either such document and any interpretations of either such document issued from time to time by the Commissioner which are within the Commissioner’s jurisdiction; all operative NFL or NFL Management Council resolutions that are within the NFL’s or the NFL Management Council’s respective jurisdictions; any existing or future agreements entered into by the NFL or the NFL Management Council, including, without limitation, any television agreements or any collective bargaining or other labor agreements (including without limitation, any NFL player salary guarantees and pension fund agreements), and any agreements made in settlement of any litigation against the NFL, the NFL Management Council, or the NFL member clubs (including litigation against such clubs, or agreements made by such clubs, jointly or collectively); any agreements and arrangements to which such party is or after the date of this Lease may become subject or by which it or its assets are or may become bound with or in favor of the NFL and its affiliates; and such other rules or policies as the NFL, the NFL Management Council, or the Commissioner may issue from time to time that are within the issuing party’s jurisdiction, including, without limitation, all financial and other reporting requirements of the NFL, and including the custom and practice thereunder.
NFL Rules and Regulations. The constitution, bylaws, rules, regulations and policies of the NFL in effect from time to time.
NFL Rules and Regulations. The NFL represents and warrants to each of the County and the ECSC that (a) the excerpts of the NFL Rules and Regulations made available to the Public Entities at the Bills’ Address as of the Effective Date include all material portions thereof relevant to franchise transfer/relocation, home territory, team ownership, team/owner debt limitations and scheduling of games, and are true, correct and complete as of the Effective Date; and (b) the NFL has approved the financial terms of the 2013 Stadium Lease pursuant to 2013 Resolution No. [ ]. The Bills shall provide written notice to each of the County and the ECSC of the existence of any material amendment, modification or supplement to those excerpts of the NFL Rules and Regulations relevant to franchise transfer/relocation, home territory, team ownership, team/owner debt limitations and scheduling of games within ten (10) days of the adoption by the NFL of the same. Each of the County and the ECSC shall be entitled to view the excerpts of the NFL Rules and Regulations made available as of the Effective Date, and any material amendment, modification or supplement to the same, at the Bills’ Address at any time during the 2013 Stadium Lease Term upon reasonable advance notice to the Bills . The County and ECSC hereby agree that they shall keep all content of and any notes resulting from a review of such excerpts confidential. Notwithstanding anything herein to the contrary, the parties hereby designate the NFL as a third party beneficiary of this section with the right to enforce the same.
