No Assistance to U.S Sample Clauses

No Assistance to U.S. Plaintiffs As of the date of the execution of this Agreement, the Main Plaintiffs, the Additional Plaintiffs, the Settlement Class Members, Class Counsel and Additional Counsel shall not, without the express written consent of the Settling Defendants, provide any direct or indirect assistance to the U.S. plaintiffs in respect of the U.S. Proceedings as against the Settling Defendants and/or any of the Releasees, except in the event that a court in Canada expressly directs the Main Plaintiffs, the Additional Plaintiffs, the Settlement Class Members, Class Counsel and Additional Counsel to provide such assistance. In no circumstances, however, may the Main Plaintiffs, the Additional Plaintiffs, the Settlement Class Members, Class Counsel and/or Additional Counsel apply for or consent to such an order, and promptly upon becoming aware of an application for such an order, Class Counsel shall immediately notify the Settling Defendants of the application in order that the Settling Defendants may intervene in such proceedings.

  • HOME ASSISTANCE TO BE PROVIDED The right of either the Owner or Tenant to receive TBRA Program assistance under this Contract is, at all times, subject to each party’s compliance with this Contract’s terms and requirements.

  • Information and Assistance 15.1.1 Subject to any obligation in respect of confidentiality, the Data Protection Legislation and Confidential Information, the Parties will use all reasonable endeavours to provide and share information and data reasonably required by the other:

  • Roadside Assistance If you purchase the optional Roadside Assistance, we will provide you with 24/7 breakdown assistance (where available) without additional charge. Roadside Assistance includes replacement of lost keys or key fobs, flat tire service, jumpstart, and key lockout services. When deciding whether to purchase Roadside Assistance, you may wish to check whether you have you have other coverage for the services. Roadside Assistance is not insurance. Roadside Assistance is void if you are in breach of this Agreement, including the prohibited uses in paragraph 5.

  • Cooperation and Assistance (i) The Parties shall cooperate with each other in the filing of any Tax Returns and the conduct of any audit or other proceeding. They each shall execute and deliver such powers of attorney and make available such other documents as are reasonably necessary to carry out the intent of this Section 6.14.

  • Directory Assistance Service shall provide up to two listing requests per call, if available and if requested by Freedom's End User. BellSouth shall provide caller- optional directory assistance call completion service at rates set forth in BellSouth's General Subscriber Services Tariff to one of the provided listings.

  • Client Assistance You acknowledge that the implementation of the Tyler Software is a cooperative process requiring the time and resources of your personnel. You agree to use all reasonable efforts to cooperate with and assist us as may be reasonably required to meet the agreed upon project deadlines and other milestones for implementation. This cooperation includes at least working with us to schedule the implementation-related services outlined in this Agreement.
