No Substitution of Subcontractors. The Contractor shall not make any substitution for any subcontractor nor allow the substitution of any sub-subcontractor who has been accepted by the Owner, unless the substitution is required and previously approved by the Owner. Acceptable reasons for substitution (other than where required by the Owner) shall be limited to the following: Inability of the subcontractor of sub-subcontractor to provide bonds, if required; Failure of the subcontractor or sub-subcontractor to perform according to approved schedules or other provisions of the Contract Documents; or Other reasons which would reasonably render the subcontractor or sub-subcontractor unable to perform its work according to the Contract Documents as evidenced in writing by the Contractor. Subcontract Terms. All portions of the Work performed by a subcontractor or sub-subcontractor shall be pursuant to an appropriate agreement between the Contractor and the subcontractor (and where appropriate between subcontractors and sub-subcontractors) which shall contain provisions that: Preserve and protect the rights of the Owner under the Contract Documents with respect to the portion of the Work to be performed under the subcontract (or sub-subcontract) so that the subcontracting will not prejudice such rights; Require that such work be performed in accordance with the requirements of the Contract Documents; Require submission to the Contractor of applications for payment under each subcontract to which the Contractor is a party; Require that all requests for additional compensation, extensions of time or otherwise with respect to subcontracted portions of the Work shall be submitted to the Contractor (via any subcontractor or sub-subcontractor where appropriate) in sufficient time so that the Contractor may comply in the manner provided in the Contract Documents for like requests by the Contractor upon the Owner; and Obligate each subcontractor or sub-subcontractor specifically to consent to the provisions of Sections 3.02, 3.03, 3.04, 16.01, 24.02 and 26.12 of this Agreement.
