Non-Solicitation by Seller. During a period of 12 (twelve) months from the Closing Date, the Seller shall not, without the Buyer's prior written consent (such consent not to be unreasonably withheld or delayed), on their own account or on the account of any other Person hire, engage or employ, or make an offer to hire, engage or employ, as an employee, consultant, advisor, representative, agent, independent seller or partner, any key employee of the Company.

Non-Solicitation by Seller. Seller and Seller Parent agree that for a period of three years following the Closing Date, they will not, and will cause their Affiliates (as defined in Section 5.15(b)) not to, solicit or accept business from any existing customer accounts of the Business; PROVIDED that Seller and Seller Parent shall be permitted to service any national account within such markets if pursuant to the terms of the relevant national account agreement Seller and Seller Parent are unable to subcontract the services to Buyer.
Non-Solicitation by Seller. From the date of this Agreement through (and including) the Seller Non-Solicitation Termination Date, the Seller shall not, and shall cause its Affiliates (other than the Company and its Subsidiaries) not to, hire or solicit for hire any Company Key Employee; provided that this covenant shall not apply to (a) general advertisements for employment not targeted at the Company Key Employees, (b) the hiring or solicitation for hire of any Seller Career Employee, (c) the hiring or solicitation for hire of any Company Key Employee that the Company or any of its Subsidiaries has previously terminated or (d) as otherwise may be agreed by the Seller and the Buyer.
Non-Solicitation by Seller. (a) Seller agrees that for a period of one (1) year after the Closing Date, it will not, and will cause its Affiliates and each of its and their officers, directors and employees not to, directly or indirectly, solicit for employment or employ, either as an employee or a consultant, any employee of the Business who was a Network Employee as of the Closing Date, unless such person has been terminated by Buyer; PROVIDED that nothing contained in this Section 8.07(a) shall prohibit Seller or any of its officers, directors or employees from (i) general solicitation of employees over any medium not specifically targeted toward the Business or the Transferred Employees, including without limitation, newspaper, television, radio and similar forms of mass media or (ii) employing Xxxxxxx Xxxxx, either as an employee or consultant, for twenty (20%) of his time.
Non-Solicitation by Seller. For a period of 12 months following the Closing Date, Seller shall not, directly or indirectly, and shall cause its Affiliates not to, solicit any employee of Buyer or its Affiliates for employment by Seller or any of its Affiliates without the prior written consent of Buyer. An employee shall be deemed not to have solicited for employment if such employee responded to a general solicitation.
Non-Solicitation by Seller. As of the Closing Date, Purchaser shall offer employment to, and Seller shall use its best efforts to assist Purchaser in employing as new employees of Purchaser, all persons presently engaged in the Business who are identified by Purchaser prior to the Closing Date and hired by Purchaser immediately following the Closing (the "Retained Employees"). Seller shall terminate effective as of the Closing Date all employment agreements it has with any of the Retained Employees. Until the first anniversary of the Closing Date, Seller will not directly or indirectly solicit or offer employment to any Retained Employee who terminates employment with Purchaser without the consent of Purchaser within 180 days of such solicitation or offer.
Non-Solicitation by Seller. Seller covenants and agrees that it shall not solicit any borrower of a Mortgage Loan for a refinance after the Purchase Date. Notwithstanding the foregoing, the parties understand and agree that promotions undertaken by Seller or any affiliate of Seller which are directed to the general public at large or any portion thereof, including, without limitation, any mass mailing, newspaper, radio, internet or television advertisements, shall not constitute solicitation under this Section.

Non-Solicitation by Seller. Until the one-year anniversary of the date of this Agreement, the Seller shall not, and shall cause its directors, officers, employees and controlled Affiliates not to, directly or indirectly, solicit for hire any employee of the Buyer or any of its post-Closing Subsidiaries, including the Company, other than a person who has not been an employee of the Buyer or any of its Subsidiaries for at least 180 days and whom neither the Seller nor any of its Representatives or those of any of its controlled Affiliates, directly or indirectly, solicited following the date of this Agreement; provided, that nothing in this Section 6.10(b) shall apply to any employee who responds to general solicitations of employment not specifically directed toward employees of the Buyer or any of its post-Closing Subsidiaries, which general solicitations are expressly permitted.
Non-Solicitation by Seller. SELLER agrees, for itself and its affiliates, not to re-hire, or directly or indirectly attempt to re-hire, for a period of twelve (12) months from the Closing Date, any of the Transferred Employees.
