Notice & Discussion. (a) CROZER will give written notice to the affected employees and CCNA/PASNAP 30 days in advance of a displacement and 14 days in advance of a layoff, except in the event of an emergency or act of God, than a lesser notice may be given. When possible, CROZER agrees to meet with the Association in the event of a proposed layoff/displacement to explore the reasons for the action and any possible alternatives, including an early retirement package.

Notice & Discussion. Each Party shall promptly notify the other Party if it becomes aware after the Effective Date of any Third Party Know-How or Third Party Patent Rights that are necessary or reasonably useful to Develop, Manufacture or Commercialize any Product in the Field (“Third Party IP”). Thereafter, the Parties shall discuss whether to obtain a license or otherwise acquire rights under such Third Party IP for one or the other Party’s Territory or for both Parties’ Territories.
Notice & Discussion. If during the term of this Agreement Avidia wishes to develop or commercialize any DBP Therapeutic Conjugate, then Avidia shall notify Maxygen and request approval from Maxygen to develop or commercialize such DBP Therapeutic Conjugate, identifying in writing (a) [****], and (b) [****]. In any such event, Maxygen agrees to discuss with Avidia in good faith Avidia’s interest in developing or commercializing such DBP Therapeutic Conjugate. Maxygen further agrees that such requests by Avidia for Maxygen’s approval will be considered favorably by Maxygen, unless Maxygen determines, in its sole discretion, that such an approval may have a material adverse impact on Maxygen or its Affiliates or Licensees.

  • Informal Discussion If an employee has a problem relating to a work situation, the employee is encouraged to request a meeting with his or her immediate supervisor to discuss the problem in an effort to clarify the issue and to work cooperatively towards settlement.

The Company agrees that it will take the necessary steps to promptly inform the individuals or entities referred to in the first sentence hereof of the obligations undertaken in this Section 6.2. The Company also agrees that it will promptly request each Person that has heretofore executed a confidentiality agreement in connection with its consideration of acquiring it or any of its Subsidiaries to return or destroy all confidential information heretofore furnished to such Person by or on behalf of it or any of its Subsidiaries.

  • Settlement Discussions This Agreement is part of a proposed settlement of matters that could otherwise be the subject of litigation among the Parties hereto. Nothing herein shall be deemed an admission of any kind. Pursuant to Federal Rule of Evidence 408 and any applicable state rules of evidence, this Agreement and all negotiations relating thereto shall not be admissible into evidence in any proceeding other than to prove the existence of this Agreement or in a proceeding to enforce the terms of this Agreement.

  • Notice of Dispute The party wishing to commence the dispute resolution process must give written notice (Notice of Dispute) to the other parties of: (a) The nature of the dispute, (b) The alleged basis of the dispute, and (c) The position which the party issuing the Notice of Dispute believes is correct.

YOUR AGREEMENT TO THIS ARBITRATION PROVISION IS VOLUNTARY.
