Notional Budget for Paid. Time Off 3.3.1 A notional allocation of 10,000 hours per year has been allocated for paid time off under the ‘Flexible Working Arrangement’. This has been proportioned as follows: - 3.3.2 UNISON – 50% (5,000 hours) 3.3.3 GMB/ASU 30% (3,000 hours) 3.3.4 UNITE 15% (1,500 hours) 3.3.5 APAP 5% (500 hours) 3.3.6 This allocation has been based on the independent membership check of UNISON and the GMB which was conducted by ACAS on 31 March 2011. UNITE and APAP did not participate in this process. 3.3.7 ACAS will be asked to complete a further independent membership check (to take place on 31 October 2011. This data will then be used to review and, where appropriate, adjust the proportion of hours allocated to each of the recognised unions. Any reallocation of hours will take effect on 1 January 2012. Thereafter, ACAS will be asked to undertake an independent membership check on an annual basis. 3.3.8 It will be for each union to determine how the proportion of hours is utilised. This could include fulltime or part-time release of dedicated union convenors. 3.3.9 Requests for time off must be made using the attached form (Annex D) and in accordance with the procedure set out in ‘5’ below. The Scheduling Department will ensure hours are deducted against the union’s overall allocation of hours. 3.3.10 The Trust reserves the right to suspend these arrangements in the event of operational necessity, such as XXXX 4 and above, major incident and/or for business continuity reasons. Operational staff who are union representatives will be required to wear their ambulance uniforms when performing union duties, to enable them to be available to respond if required. 3.3.11 Scheduling will monitor utilisation of the notional allocation of hours for each recognised union on a monthly basis and ‘flag’ any significant variances for closer scrutiny. This information will be considered at the monthly Union Liaison Meetings. 3.3.12 The unions will take account of the exigencies of the service and operational performance in determining utilisation of these allocated hours, thereby working in partnership with the Trust to avoid peak periods of activity. 3.3.13 No representative should suffer financial or other detriment due to Trade Union duties.

  • Treatment of Unallowable Costs Previously Submitted for Payment Endo further agrees that within ninety (90) days of the Effective Date of this Agreement it shall identify to applicable Medicare and TRICARE fiscal intermediaries, carriers, and/or contractors, and Medicaid fiscal agents and FEHBP carriers and/or contractors, any Unallowable Costs (as defined in this paragraph) included in payments previously sought from the United States, or any State Medicaid program, including, but not limited to, payments sought in any cost reports, cost statements, information reports, or payment requests already submitted by Endo or any of its subsidiaries or affiliates, and shall request, and agree, that such cost reports, cost statements, information reports, or payment requests, even if already settled, be adjusted to account for the effect of the inclusion of the Unallowable Costs. Xxxx agrees that the United States, at a minimum, shall be entitled to recoup from Endo any overpayment plus applicable interest and penalties as a result of the inclusion of such Unallowable Costs on previously-submitted cost reports, information reports, cost statements, or requests for payment. Any payments due after the adjustments have been made shall be paid to the United States pursuant to the direction of the Department of Justice and/or the affected agencies. The United States reserves its rights to disagree with any calculations submitted by Endo or any of its subsidiaries or affiliates on the effect of inclusion of Unallowable Costs (as defined in this paragraph) on Endo or any of its subsidiaries or affiliates’ cost reports, cost statements, or information reports.

In the event of a distribution of Available Cash that is deemed to be from Capital Surplus, the then applicable Minimum Quarterly Distribution, First Target Distribution, Second Target Distribution and Third Target Distribution, shall be adjusted proportionately downward to equal the product obtained by multiplying the otherwise applicable Minimum Quarterly Distribution, First Target Distribution, Second Target Distribution and Third Target Distribution, as the case may be, by a fraction of which the numerator is the Unrecovered Capital of the Common Units immediately after giving effect to such distribution and of which the denominator is the Unrecovered Capital of the Common Units immediately prior to giving effect to such distribution. (b) The Minimum Quarterly Distribution, First Target Distribution, Second Target Distribution and Third Target Distribution, shall also be subject to adjustment pursuant to Section 6.9.
