Notwithstanding 5. 2.1.2, if either Company wishes to issue further Shares during the Empowerment Period in circumstances where the Shares held by Exxaro constitute 26% or more of all the Shares in the issued share capital of that Company, such Company shall only issue such further Shares –
Notwithstanding 5. 1.1.1 the probationary period for a part-time firefighter who has successfully completed the twelve month (12) probationary period for part-time firefighters and who is appointed to a full-time Fire Safety Technician position shall be three (3) months.
Notwithstanding 5. 3.1, if no quorum is present at any duly convened meeting of such Board or Shareholders within thirty minutes after the scheduled time for commencement of that meeting, the meeting shall be adjourned to be resumed at the same time and venue on the seventh day thereafter, or if that day is not a Business Day to the next succeeding Business Day. If at such adjourned meeting a quorum is not present within thirty minutes after the scheduled time for commencement of that meeting, the Directors or Shareholders, as the case may be, present shall, constitute a quorum. Written notice of each adjournment specifying the business to be dealt with at the adjourned meeting shall be given by the relevant Company to each of the Directors or Shareholders, as the case may be, forthwith after such adjournment. No business shall be transacted at the resumption of any adjourned meeting other than the business left unfinished at the meeting from which the adjournment took place.
Notwithstanding 5. 7.1, the Final Agreement will provide a process by which each parcel of Settlement Land located within a municipality will have an official plan designation and zoning, as agreed by the Parties after consultation with municipalities, to come into effect upon transfer to an Algonquin Institution.
Notwithstanding 5. 1.1, a substitute teacher shall be paid sixty per cent (60%) of the full day rate indicated in clause 5.1.2 for each partial day worked (inclusive of holiday pay). A teacher who works more than sixty per cent (60%) of an instructional day shall receive one hundred per cent (100%) of the substitute teacher’s daily rate (inclusive of holiday pay). If a teacher works two (2) partial day assignments on the same day, they shall receive one hundred per cent (100%) of the substitute teacher’s daily rate of pay (inclusive of holiday pay).
