(b) On the same basis as CBT provides to its retail customers, CBT shall hold up to 100 telephone numbers, per CLEC subscriber request.

Number Administration/Number Reservations. 2.1.4.1 Until Number Administration functions are assumed by a neutral third party in accordance with FCC rules and regulations, U S WEST shall assign NXXs to Pac-West on a non-discriminatory and equivalent basis following NANP guidelines. In addition, U S WEST shall provide testing and loading of Pac-West's NXX on the same basis as U S WEST provides itself or its Affiliates. Further, in U S WESTs role as number administrator, it shall provide Pac-West with access to abbreviated dialing codes, access arrangements for 555 line numbers, and the ability to obtain telephone numbers, including vanity numbers, while a customer is on the phone with Pac-West U S WEST shall provide the same range of number choices to Pac-West, including choice of exchange number, as U S WEST provides its own customers. Reservation and aging of numbers shall remain U S WESTs responsibility. 2.1.4.2 Pac-West may reserve blocks of U S WEST telephone numbers in accordance with U S WEST's tariffs, or in the same manner U S WEST reserves telephone numbers for its own use. 2.1.4.3 Where Pac-West has obtained its own NXX, but has purchased U S WEST Services for Resale o r Network Elements, U S WEST agrees to recognize the Pac-West NXX in U S WESTs switch according to the local calling area defined by Pac-West and approved by the Commission. 2.1.4.4 For resale and the unbundled switching element U S WEST shall accept Pac-West orders for vanity numbers and blocks of numbers for use with complex services including, but not limited to, DID, Centrex, and hunting arrangements, as requested by Pac-West on a non-discriminatory, equivalent basis following NANP guidelines. 2.1.4.5 For simple services, U S WEST shall provide real-time electronic interfaces to Pac-West to obtain telephone number confirmation while the customer is on the line. When real time electronic interfaces are not available for simple services number reservations, U S WEST shall provide alternative means for confirmation of the number reservation while the customer is on the line. For number reservations associated with complex services, U S WEST shall provide confirmation of the number reservation within forty-eight (48) hours of Pac-West's request or within such time as U S WEST may provide to itself or Affiliates, whichever is less.

In addition, each Party shall provide activation of translations routing of the other Party’s NXX codes to meet established national implementation dates. Further, BA shall provide AT&T with access to abbreviated dialing codes, access arrangements for 555 line numbers, and the ability to obtain telephone numbers, including specific numbers where available, while a Customer is on the phone with AT&T, all at Parity. BA shall provide the same range of number choices to AT&T, including choice of exchange number, as BA provides its own Customers. Reservation and aging of numbers associated with BA Resale Services and BA Network Elements shall remain BA’s responsibility. Reservation and aging of numbers associated with AT&T Resale Services shall remain AT&T’s responsibility. 1.7.2 Where mutually agreed, which agreement shall not be unreasonably withheld, the Parties will implement LERG reassignment for particular NXX codes in accordance with Attachment 8 of this Agreement. 1.7.3 If and when available from a Party, each Party shall accept LSRs from the other Party for vanity numbers and blocks of numbers for use with relevant complex services including, but not limited to, direct inward dialing, CENTREX, and hunting arrangements, as reasonably requested by a Purchasing Party, in accordance with applicable Tariffs, and at Parity. 1.7.4 For simple services number reservations, each Party shall provide real-time confirmation of the number reservation. For number reservations associated with relevant complex services, each Party shall provide confirmation of the number reservation within two (2) business days of the Purchasing Party’s request. Number reservations shall be provided in accordance with applicable Tariffs and at Parity with that provided a Party’s own Customers.

Until Number Administration functions are assumed by a neutral third party in accordance with FCC Rules and Regulations, BellSouth shall assign NXXs to MCIm on a non-discriminatory basis in accordance with national guidelines. BellSouth shall provide the same range of number choices allowing the assignment of numbers while the subscriber is on the phone to MCIm, including choice of exchange number, as BellSouth provides its own subscribers. Reservation and aging of numbers shall remain BellSouth's responsibility.

(c) When End Users switch from CBT to SBCT, SBCT to CBT, or to SBCT from any other Reseller, and if they do not change their service address to an address served by a different Central Office, such End Users shall be permitted to retain their current telephone numbers if they so desire. Neither Party shall take action to prevent End Users from retaining their current telephone numbers.

  • Number Resources, Rate Center Areas and Routing Points 8.1 Nothing in this Agreement shall be construed to limit or otherwise adversely affect in any manner either Party’s right to employ or to request and be assigned any Central Office Codes (“NXX”) pursuant to the Central Office Code Assignment Guidelines and any relevant FCC or Commission orders, as may be amended from time to time, or to establish, by Tariff or otherwise, Rate Center Areas and Routing Points corresponding to such NXX codes. 8.2 It shall be the responsibility of each Party to program and update its own switches and network systems pursuant to information provided in the LERG in order to recognize and route traffic to the other Party’s assigned NXX codes. Except as expressly set forth in this Agreement, neither Party shall impose any fees or charges whatsoever on the other Party for such activities. 8.3 Unless otherwise required by Commission order, the Rate Center Areas will be the same for each Party. During the term of this Agreement, Onvoy shall adopt the Rate Center Area and Rate Center Points that the Commission has approved for Frontier within the LATA and Tandem serving area. Onvoy shall assign whole NPA-NXX codes to each Rate Center Area unless otherwise ordered by the FCC, the Commission or another governmental entity of appropriate jurisdiction, or the LEC industry adopts alternative methods of utilizing NXXs. 8.4 Onvoy will also designate a Routing Point for each assigned NXX code. Onvoy shall designate one location for each Rate Center Area in which the Onvoy has established NXX code(s) as the Routing Point for the NPA-NXXs associated with that Rate Center Area, and such Routing Point shall be within the same LATA as the Rate Center Area but not necessarily within the Rate Center Area itself. Unless specified otherwise, calls to subsequent NXXs of Onvoy will be routed in the same manner as calls to Xxxxx’s initial NXXs. 8.5 Notwithstanding anything to the contrary contained herein, nothing in this Agreement is intended, and nothing in this Agreement shall be construed, to in any way constrain Onvoy’s choices regarding the size of the local calling area(s) that Onvoy may establish for its Customers, which local calling areas may be larger than, smaller than, or identical to Frontier’s local calling areas.

  • Tax Identification Number All deposits to the Accounts shall be subject to the Escrow Agent's receipt of a valid tax identification number for the Company, Manager or Potential Investor, as applicable.

  • Adjustment in Number of Rights The Company may elect on or after the date of any adjustment of the Purchase Price to adjust the number of Rights, in substitution for any adjustment in the number of one one-hundredths of a Preferred Share issuable upon the exercise of a Right. Each of the Rights outstanding after such adjustment of the number of Rights shall be exercisable for the number of one one-hundredths of a Preferred Share for which a Right was exercisable immediately prior to such adjustment. Each Right held of record prior to such adjustment of the number of Rights shall become that number of Rights (calculated to the nearest one-hundredth) obtained by dividing the Purchase Price in effect immediately prior to adjustment of the Purchase Price by the Purchase Price in effect immediately after adjustment of the Purchase Price. The Company shall make a public announcement of its election to adjust the number of Rights, indicating the record date for the adjustment, and, if known at the time, the amount of the adjustment to be made. This record date may be the date on which the Purchase Price is adjusted or any day thereafter, but, if the Right Certificates have been issued, shall be at least ten (10) days later than the date of the public announcement. If Right Certificates have been issued, upon each adjustment of the number of Rights pursuant to this Section 11.9, the Company may, as promptly as practicable, cause to be distributed to holders of record of Right Certificates on such record date Right Certificates evidencing, subject to Section 14, the additional Rights to which such holders shall be entitled as a result of such adjustment, or, at the option of the Company, shall cause to be distributed to such holders of record in substitution and replacement for the Right Certificates held by such holders prior to the date of adjustment, and upon surrender thereof, if required by the Company, new Right Certificates evidencing all the Rights to which such holders shall be entitled after such adjustment. Right Certificates so to be distributed shall be issued, executed and countersigned in the manner provided for herein (and may bear, at the option of the Company, the adjusted Purchase Price) and shall be registered in the names of the holders of record of Right Certificates on the record date specified in the public announcement.
