Náklady a platby. The budget for the Study is attached as Exhibit B and incorporated into this Agreement by reference. The payment(s) set forth in such budget are acknowledged by the parties hereto to be adequate consideration for the work undertaken hereunder. The payments from Sponsor for the services provided by Institution and Principal Investigator hereunder (i) represent the fair market value for such services, (ii) were negotiated in an arm’s length transaction, and (iii) have not been determined in a manner that takes into account the volume or value of any referrals or business otherwise generated between the parties. For work performed or expenses incurred that Sponsor is obligated to make payment on, Institution and Principal Investigator will not seek additional reimbursement from another source.

Smluvní strany jsou srozuměny a souhlasí se skutečností, že jakékoliv platby výslovně uvedené v příloze A pokrývají veškeré administrativní a všechny další poplatky, náklady a výdaje zdravotnického zařízení související s prováděním studie nebo poskytnutým vybavením či službami umožňujícími provedení studie a že zdravotnickému zařízení nebude vyplacena žádná jiná forma kompenzace vyjma případů, na nichž se smluvní strany výslovně a v písemné podobě dohodly. Obsah rozpočtových formulářů xx xxxx xxxxxxxxxxx xxxxxxxx xxxxxxxxx xx důvěrný a Zdravotnické zařízení ani Hlavní zkoušející nebudou mít přístup k rozpočtovému formuláři podepsanému druhou z příslušných stran. Platby stanovené v těchto rozpočtových formulářích jsou příslušnými stranami považovány za přiměřenou odměnu za práci provedenou danou stranou. Platby ze strany Zadavatele za služby poskytnuté Poskytovatelem a Hlavním zkoušejícím na základě této Smlouvy (i) pšedstavují pšiměšenou tržní hodnotu za takové služby, (ii) byly sjednány jako transakce v běžných obchodních vztazích a (iii) nebyly určeny zpnsobem, který zohledňuje objem nebo hodnotu jakýchkoliv doporučení nebo jakkoliv jinak generovanou obchodní spolupráci mezi stranami. Za vykonanou práci nebo vynaložené výdaje, za xxx xx Zadavatel povinen provést platbu, nebude Poskytovatel a Hlavní zkoušející požadovat z jakéhokoliv zdroje dodatečnou úhradu. . Pšedpokládaná hodnota plnění činí 10 181 244,-Kč.

Náklady a platby. 4.1 As consideration for performance of the Study under the terms of this Agreement, Sponsor shall pay the Provider on a per Subject basis as set forth in the Payment Schedule and Payment Rule Form which is attached herein as Exhibit A (hereinafter the “PRF”). Sponsor is entitled to claim the applicable tax credits on any eligible amounts paid by Sponsor to the Provider/Investigator.
