Common use of Ongoing Discussions Clause in Contracts

Ongoing Discussions. Shareholder in Shareholder’s capacity as a stockholder of the Company, except in order to comply with Section 6.1(a)(iv) of the Merger Agreement, will immediately cause to be terminated any existing activities, discussions or negotiations by Shareholder or any of its Representatives with any Persons conducted heretofore with respect to any of the foregoing (including, without limitation, any Acquisition Proposal) and will inform each Representative, and each of the Persons referred to in Section 6.1(b) of the Merger Agreement, of the obligations undertaken in this Section 6.1 of the Merger Agreement and cause each Representative to comply with such obligations; and
