Operation Fee. The “Operation Fee” shall be calculated by multiplying the Entry Fee by 15.62%. The sum of the Entry Fee and the Operation Fee is due within thirty (30) days of a new JPA Member joining the JPA.

Operation Fee. Commencing on the day of execution of this Agreement and throughout the Term, Owner shall pay to Operator a fixed monthly fee of $246,250 (Two Hundred and Forty Six Thousand Two Hundred and Fifty USD), subject to adjustment based on the Consumer Price Index, Urban Consumers - West (CPI-U, West) on January 1 of each Year, which shall cover all costs associated with the ordinary maintenance of the Steamboat Facility (the "Operation Fee"). The Operation Fee shall include, but not be limited to, the cost of labor, parts, consumables and fees and costs of subcontractors, provided, however, that the payment of the above fee shall not cover and shall be in addition to additional payments to Operator and costs at Owner's additional expense with regard to: (a) Extraordinary Operation Expenses, (b) costs and expenses caused to Operator as a result of Owner non-compliance with any of its obligations described in Sections 3 or 7, (c) all costs and expenses of Owner in connection with the performance of any of its Steamboat Project O&M Operation and Maintenance Agreement - Steamboat Plants obligations under this Agreement, (d) all Operator costs and losses for which Owner is responsible under Section 3.2, and (e) any other costs, reimbursement obligations, expenses, losses, or damages and any taxes, duties, levies or fees which are expressly described in this Agreement as an Owner obligation (including, without limitation, those described in Section 3.1.1), all of which shall be at Owner's additional expense. At Operator's written request, the Parties shall renegotiate in good faith the Operation Fee for every 5 (five) year period, so as to reflect as nearly as possible the economic factors that were the basis for the calculation of the initial Operation Fee and other factors and circumstances justifying the adjustment of the same. If Owner does not accept Operator's proposal for adjustment of the Operation Fee within 15 (fifteen) days of the date of such request, Operator shall be entitled to terminate this Agreement upon written notice to Owner, and the results of such termination shall be as described in Section 8.4.

The Plants Operation Fee shall include, but not be limited to, the cost of labor, parts, consumables and fees and costs of subcontractors, provided, however, that the payment of the above fee shall not cover and shall be in addition to additional payments to Operator and costs at Owner's additional expense with regard to: (a) Extraordinary Operation Expenses, (b) costs and expenses caused to Operator as a result of Owner non-compliance with any of its obligations described in Sections 3 or 7, (c) all costs and expenses of Owner in connection with the performance of any of its obligations under this Agreement, (d) all Operator costs and losses for which Owner is responsible under Section
Operation Fee. For the services to be performed by Contractor during the Operation Phase, Contractor will invoice monthly, each of such monthly invoice composed by a fixed fee and a variable fee, as provided for below (“Operation Fee”). The first invoice of the Operation Fee shall be submitted by Contractor on the fifth (5th) day of the following calendar month in which the Operation Phase has began and so forth for every subsequent month until the end of the Term.

  • Management Fee For all services to be rendered, payments to be made and costs to be assumed by you as provided in sections 2, 3, and 4 hereof, the Trust on behalf of the Fund shall pay you in United States Dollars on the last day of each month the unpaid balance of a fee equal to the excess of (a) 1/12 of .55 of 1 percent of the average daily net assets as defined below of the Fund for such month; provided that, for any calendar month during which the average of such values exceeds $250,000,000 the fee payable for that month based on the portion of the average of such values in excess of $250,000,000 shall be 1/12 of .52 of 1 percent of such portion; provided that, for any calendar month during which the average of such values exceeds $1,000,000,000, the fee payable for that month based on the portion of the average of such values in excess of $1,000,000,000 shall be 1/12 of .50 of 1 percent of such portion; provided that, for any calendar month during which the average of such values exceeds $2,500,000,000, the fee payable for that month based on the portion of the average of such values in excess of $2,500,000,000 shall be 1/12 of .48 of 1 percent of such portion; provided that, for any calendar month during which the average of such values exceeds $5,000,000,000, the fee payable for that month based on the portion of the average of such values in excess of $5,000,000,000 shall be 1/12 of .45 of 1 percent of such portion; provided that, for any calendar month during which the average of such values exceeds $7,500,000,000, the fee payable for that month based on the portion of the average of such values in excess of $7,500,000,000 shall be 1/12 of .43 of 1 percent of such portion; provided that, for any calendar month during which the average of such values exceeds 10,000,000,000, the fee payable for that month based on the portion of the average of such values in excess of $10,000,000,000 shall be 1/12 of .41 of 1 percent of such portion; and provided that, for any calendar month during which the average of such values exceeds 12,500,000,000, the fee payable for that month based on the portion of the average of such values in excess of $12,500,000,000 shall be 1/12 of .40 of 1 percent of such portion; over (b) any compensation waived by you from time to time (as more fully described below). You shall be entitled to receive during any month such interim payments of your fee hereunder as you shall request, provided that no such payment shall exceed 75 percent of the amount of your fee then accrued on the books of the Fund and unpaid.
