Out-of-Pocket Expenses and Miscellaneous Charges. In addition to the above fees, Service Provider shall be entitled to receive payment for the following out-of-pocket expenses and miscellaneous charges:
Out-of-Pocket Expenses and Miscellaneous Charges. The out of pocket expenses and miscellaneous services fees and charges provided for under the Agreement are not included in the above fees and shall also be payable to Citi in accordance with the provisions of the Agreement.
Out-of-Pocket Expenses and Miscellaneous Charges. In addition to the above fees, Service Provider shall be entitled to receive payment for out-of-pocket expenses and miscellaneous charges as follows. Commencing April 1, 2014, the Client shall pay fifty percent of such expenses and charges for the first year, seventy-five percent for the second year and one hundred percent after the second year. The expenses and charges are as follows:

In addition to the above fees, Service Provider shall be entitled to receive payment for the following out-of-pocket expenses and miscellaneous charges upon receipt of a detailed invoice, which shall be provided to the Client in advance and the Client is given an opportunity to review and refute any single out-of-pocket expense or miscellaneous charge that the clients deems to be unreasonable:

The out of pocket expenses and miscellaneous services fees and charges provided for under the Agreement are not included in the above fees and shall also be payable to BISYS in accordance with the provisions of the Agreement; provided, however, that the aggregate amount to be charged to the Company under the following subsections of the Agreement shall not exceed $27,500 per annum: Section 4(b) sub-sections (i),(ii), (iii), (v), and (xii), and Section 4(c) subsection (iii), but the limitation only applies to charges for media output, DST programming, and postage. All other out of pocket and miscellaneous charges are payable without respect to this limitation, including the following: AML Service Fees and Expenses: Annual program servicing $ 4,500.00 (to be billed in equal monthly amounts of $375.00) Systems costs Early Warning annual fee $ 575.00 Early Warning per record cost $ 0.22 for new account* registration review – does not apply to Network Level III accounts Equifax – per request cost $ 5.00 * Changes to account registration information or other account-related information may result in characterizing the account as a “new account” for these purposes.

The out of pocket expenses and miscellaneous services fees and charges provided for under the Agreement are not included in the above fees and shall also be payable to BISYS in accordance with the provisions of the Agreement. AML Annual program servicing $4,000.00 for up to the first 50,000 accounts (to be billed in 12 equal monthly amounts of $333.33) If over 50,000 accounts, the AML Annual program servicing fee is increased to $7,000.00 (to be billed in 12 equal monthly amounts of $583.33) Systems costs Early Warning annual fee $ 575.00 Early Warning per record cost $ 0.22 Early Warning searches for Networked Level III are conducted and fees applied every three weeks. Equifax – per request cost $ 5.00
Out-of-Pocket Expenses and Miscellaneous Charges. The out of pocket expenses and miscellaneous services fees and charges provided for under this Agreement are not included in the above fees and shall also be payable to Citi in accordance with the provisions of this Agreement. SCHEDULE C SERVICE LEVEL STANDARDS Each Fund Accounting standard will be tracked and reported on a quarterly basis at a share-class level. In the event Citi fails to meet a Service Standard in any particular quarter, Citi agrees to take appropriate corrective measures within the following quarter to be in compliance with the appropriate standard at the end of such period. In the event that Citi is not in compliance with the standard for two consecutive quarters, the Trust shall be entitled to a fee reduction as listed below. Any failure to meet the standard due to a circumstance outside of Citi’s control shall not be deemed a failure by Citi to meet its standard.
