OWNERSHIP OF DOCUMENTS AND WORK PRODUCTS. All professional and technical documents and information developed under this Agreement, and all work products, including writings, work sheets, reports, and related data, materials, copyrights and all other rights and interests therein, shall become the property of the County, and Contractor agrees to deliver and assign the foregoing to the County, upon completion of the services hereunder or upon any earlier termination of this Agreement. Contractor assigns the work products, as and when the same shall arise, for the full terms of protection available throughout the world. In addition, basic data prepared or obtained under this Agreement shall be made available to the County without restriction or limitation on their use. No additional charge will be made for any of the foregoing.

All data, electronic or otherwise, collected by Seller and all documents, notes, programs, data bases (and all applications thereof), files, reports, studies, and/or other material collected and prepared by Seller in connection with this Agreement, whether completed or in progress, shall be the property of Purchaser upon completion of this Agreement or upon termination of this Agreement. Purchaser hereby reserves all rights to the databases and all applications thereof and to any and all information and/or materials prepared in connection with this Agreement. Seller is prohibited from use of the above described information and/or materials without the express written approval of Purchaser.

The Purchaser shall own all files, work papers, documentation, and/or other material, electronic or otherwise, collected and created in connection with work performed under a supplement and/or purchase order, whether completed or in progress, except for: (a) Seller’s internal administrative and quality assurance files and internal project correspondence; (b) documents, objects or things owned by Seller and pre-existing the work performed under the supplement and/or purchase order, and (c) documents, objects or things in which Seller has no right to transfer ownership. As to such documents, objects and things, Seller shall convey such right or interest to the extent allowed by law. Seller shall deliver such documents and work papers to Purchaser upon termination or completion of the supplement and/or purchase order. The foregoing notwithstanding, Seller shall be entitled to retain a set of such work papers only after receiving written permission from the Purchaser.

Customer hereby reserves all rights to the databases and all applications thereof and to any and all information and/or materials prepared in connection with this Master Agreement. Contractor is prohibited from use of the above described information and/or materials without the express written approval of Customer. Contractor shall deliver such documents to Customer upon termination or completion of the supplement/purchase order.

Consultant assigns all work products, as and when the same shall arise, for the full terms of protection available throughout the world. In addition, basic data prepared or obtained under this Agreement shall be made available to the County without restriction or limitation on its use. No charge will be made for any of the foregoing. Consultant shall not be responsible for any claims arising out of County’s extraction or modification of Consultant’s work product, and for any claims arising out of the use of work product by County for any other purpose than that which is expressly set forth under this Agreement.

The CONTRACTOR may retain copies of all records required for record keeping purposes or for compliance with applicable professional standards. The CONTRACTOR is prohibited from use of the above described information and/or materials without the express written approval of the OSA.

All Content, data, electronic or otherwise, collected/created by Licensor and all documents, notes, programs, databases (and all applications thereof), files, reports, studies, work papers, and all other materials collected and prepared by Licensor in connection with this Agreement, whether completed or in progress, shall be the property of MLC upon completion of this Agreement or upon termination of this Agreement as subject to Article 4.9 herein. MLC hereby reserves all rights to the databases and to any and all information and/or materials prepared in connection with this Agreement. Licensor is prohibited from use of the above described information and/or materials without the express written approval of MLC.
