Work Papers. Upon the filing of the 2022-2025 Plans with the Commission, the Companies agree to provide the Parties with all work papers (in their native file format) that support each Company’s 2022-2025 Plan, testimony, and exhibits.
Work Papers. All final work product and work papers directly relating thereto delivered to Water System by the Contractor in connection with the performance of services pursuant to this Agreement, including public records obtained by the Contractor, shall be the property of the Water System whether or not in the possession of the Contractor, for use and re-use by the Water System, its agents, employees, contractors and Contractors, as needed from time-to-time.
Work Papers. All final work product and work papers directly relating thereto prepared or developed by the Consultant in connection with the performance of services pursuant to this Agreement, including public records obtained by the Consultant, shall be the property of the Company whether or not in the possession of the Consultant. Upon demand, Consultant should turn over papers in his possession to the Company.
Work Papers. Buyer will make the work papers and back-up materials used in preparing the Fiserv Affinity Final Balance Sheet, the TIB Final Balance Sheet, and the Fiserv Brokerage Final Balance Sheet, and the books, records, and financial staff of the Target Companies and Buyer, available to Seller and its accountants and other representatives at reasonable times and upon reasonable notice at any time during (A) the preparation by Buyer of the Fiserv Affinity Final Balance Sheet, the TIB Final Balance Sheet and the Fiserv Brokerage Final Balance Sheet, (B) the review by Seller of the Fiserv Affinity Final Balance Sheet, the TIB Final Balance Sheet and the Fiserv Brokerage Final Balance Sheet, and (C) the resolution by Buyer and Seller of any objections thereto.
Work Papers. Nu Skin USA will make the work papers and back-up materials used in preparing the Draft Closing Date Balance Sheet available to Nu Skin Enterprises and its representatives and to the "Big 5" Accountant at reasonable times and upon reasonable notice at any time during (i) the preparation by Nu Skin USA of the Draft Closing Date Balance Sheet, (ii) the review by Nu Skin Enterprises and its representatives of the Draft Closing Date Balance Sheet, (iii) the discussion by Nu Skin Enterprises and Nu Skin USA of any objections Nu Skin Enterprises may have thereto, and (iv) the resolution by the "Big 5" Accountant of any unresolved objections to the Draft Closing Date Balance Sheet as set forth in Section 3.2 above.
Work Papers those internal memoranda and working notes prepared by Hitachi during performance of Services hereunder that serve to substantiate the Services and/or any Work Product. Work Product: any works of authorship, program listings, tools, documentation, reports, specifications, implementations, drawings, Work Papers, Deliverables and similar works created by or on behalf of Hitachi pursuant to the supply of Services. You: the entity to whom Hitachi provides the services on these WMS Terms.
Work Papers. Hitachi Consulting shall also retain and own exclusively all Work Papers created in its performance of Consulting Services hereunder, provided that Client shall retain sole and exclusive ownership of any Client Confidential Information contained or reflected therein. As used in this Agreement, “Work Papers” shall mean those internal memoranda and working notes prepared by Hitachi Consulting during the course of performing Consulting Services hereunder that serve to substantiate the Consulting Services and/or any Deliverables. The Work Papers shall be subject to the obligations set forth in Section 3 of Part B.
Work Papers. Buyer will make the work papers and back-up materials used in preparing the Final Schedule, and the books, records, and financial staff of Buyer and its Affiliates, available to Seller and Fiserv and their accountants and other representatives at reasonable times and upon reasonable notice at any time during (A) the preparation by Buyer of the Final Schedule, (B) the review by Seller and Fiserv of the Final Schedule, and (C) the resolution by Buyer, on the one hand, and Seller, on the other hand, of any objections thereto.
Work Papers. Documentation of the tax advisor of Holdco in support of the representations and warranties set forth in Section 3.21(i), and such work papers and documentation shall be in form satisfactory to Purchaser.
Work Papers. Each of the Purchaser and the Sellers agrees to permit the other party and such other party's accounting firm and the Independent Auditor, if any, to have reasonable access during normal business hours to its books and records as they relate to the Sellers, the Facilities, the Practice and the books and records of the Sellers, including, without limitation, the work papers of its accountants, and to have reasonable access to such party's representatives or its accountants, including in connection with the preparation and review of the Financial Statements, the 12/31/97 A/R Amount and the Final Closing Date A/R Amount.
