Payroll Processing Services. (i) Payroll Timeliness: Timeliness (Measures percentage of on-cycle payroll payments processed and distributed on-time in accordance with the payroll processing schedule). Any violations should be reported by Client to Service Manager for validation and reporting. Errors that are the result of inaccurate data provided to ADP by Client will not be counted in this metric.  Target = of payments are timely  Minimum performance = of payments are timely  Critical success factor: Timely payments  Calculation: (Number of payroll processes that reach net complete stage 48 hours prior to check date) – (number of payrolls that miss deadline)) / Number of payrolls processed during month * 100 (a) If reverse wire the deadline is Wednesday at 12:00 PM EST  Metric Allocation: (ii) Payroll Accuracy: Accuracy measures the percentage of on-cycle payments processed accurately. Any violations should be reported by Client to Service Manager for validation and reporting. Payroll Processing Services. The Company may select to use the System to link to the third party payroll processor, SurePayroll, Inc. for Payroll Services. The Company will be required to enter into and sign a separate and direct agreement with SurePayroll, Inc. for the Payroll Services. Once the third party agreement is completed and signed and the Payroll Services are enabled by all parties, the Company may use the System to connect to SurePayroll, Inc. for Payroll Services. The Payroll Services are provided through SurePayroll, Inc. and the Company’s agreement with SurePayroll, Inc. shall control and dictate the Company’s use of the Payroll Services. The Company should refer to its agreement with SurePayroll, Inc. for exact instructions and the terms and conditions which control the Company’s use of the Payroll Services, timing, funding, deductions, questions, or other issues regarding the Payroll Services. SurePayroll, Inc. shall be fully responsible for the payroll processing services provided and Company hereby agrees to look solely to SurePayroll, Inc. for and errors, defects, problems, fraud, mistakes, or other issues with the Payroll Services and agrees to hold Bank harmless from any acts or omissions arising out of the Payroll Services provided by SurePayroll, Inc.

  • Billing Services 6 SECTION 3.01.

  • Program Services a) Personalized Care Practice agrees to provide to Program Member certain enhancements and amenities to professional medical services to be rendered by Personalized Care Practice to Program Member, as further described in Schedule 1 to these Terms. Upon prior written notice to Program Member, Personalized Care Practice may add or modify the Program Services set forth in Schedule 1, as reasonably necessary, and subject to such additional fees and/or terms and conditions as may be reasonably necessary. b) Program Member acknowledges that the Program Services are services that are not covered services under any insurance contract to which Program Member may be a party, including, without limitation, Medicare, and are not reimbursable by Program Member’s insurer, health plan or any governmental entity, including Medicare. Program Member agrees to bear sole financial responsibility for the Member Amenities Fee and agrees not to submit to Program Member’s insurer, health plan or governmental entity any xxxx, invoice or claim for payment or reimbursement of such Member Amenities Fee. c) Personalized Care Practice or its designated affiliate will separately charge Program Member or Program Member’s insurer, health plan or governmental entity for medical, clinical, diagnostic or therapeutic services rendered by Personalized Care Practice or its designated affiliate to Program Member, and Program Member may seek payment or reimbursement from Program Member’s insurer or health plan for any such service to the extent covered by Program Member’s insurer, health plan or governmental entity. d) Program Member understands, agrees and covenants that this Agreement is a service contract, and not a contract for insurance.

  • Pharmacy Services The Contractor shall establish a network of pharmacies. The Contractor or its PBM must provide at least two (2) pharmacy providers within thirty (30) miles or thirty (30) minutes from a member’s residence in each county, as well as at least two (2) durable medical equipment providers in each county or contiguous county.

  • Monitoring Services IDT staff shall, using methods that include face-to-face and other contacts with the member, monitor the services a member receives. This monitoring shall ensure that: a. The member receives the services and supports authorized, arranged for and coordinated by the IDT staff; b. The services and supports identified in the MCP as being provided by natural and community supports are being provided; and c. The quality of the services and supports received is adequate and still necessary to continue to meet the needs and preferences of the member and support the member’s outcomes identified in the MCP.

  • TRANSPORT SERVICES Upon the conclusion of such multilateral negotiations, the Parties shall conduct a review for the purpose of discussing appropriate amendments to this Agreement so as to incorporate the results of such multilateral negotiations.

  • Ordering Services a) By submitting an Order to Megaport: 1. Customer warrants that the information Customer provides to Megaport in an Order is true and correct and that Megaport may rely upon it; and 2. Customer is making a binding offer to acquire the Services described in the Order on the terms set out in this Agreement, which Megaport may accept at its discretion. An agreement to supply a Service is formed on the date Megaport provisions that Service and charges apply from the Billing Commencement Date.

  • Provider Services Charges for the following Services when ordered by a Physician for the treatment of an Injury or Illness.

  • Engineering Services Definition: Engineering Services includes any service or creative work, the adequate performance of which requires education, training and experience in the application of special knowledge in consulting, investigating, evaluating, planning and designing, engineering principles.
