Permissible Disclosures. Contractor may disclose Court’s Confidential Information on a “need to know” basis to Contractor’s employees and Subcontractors and any representatives of Court that are working on the project. Additionally, Contractor may disclose the Confidential Information, to the extent necessary to (i) comply with any applicable law, rule, regulation, or ruling; (ii) respond to any enforceable summons or subpoena; or (iii) enforce its rights under this Agreement.
Permissible Disclosures. Contractor may disclose a JBE’s Confidential Information on a “need to know” basis to Contractor’s employees and Subcontractors and any representatives of the JBE that are working on the project, provided that Contractor requires its Subcontractors to comply with the confidentiality provisions of this Agreement. Additionally, Contractor may disclose the Confidential Information, to the extent necessary to (i) comply with any applicable law, rule, regulation, or ruling; (ii) respond to any enforceable summons or subpoena; or (iii) enforce its rights under this Agreement.
Permissible Disclosures. Notwithstanding anything in this Agreement or elsewhere to the contrary, nothing shall preclude the Executive or the Company from making truthful statements, or from disclosing documents or information, (A) when required by applicable law, regulation, order, or the like, (B) in connection with any proceeding to enforce the terms of this Agreement, or (C) in confidence to any professional for the purpose of securing professional advice.
Permissible Disclosures. Provider may provide this Agreement, and any correspondence, notices and other information related to this Agreement to any person who has provided or who is interested in providing construction or permanent financing, or any refinancing thereof, to Provider in connection with the Project. In addition, if a receiving Party is required by Applicable Law, validly issued subpoena, required filing, or the rules of any stock exchange, to disclose any Confidential Information provided by the disclosing Party, the receiving Party may make disclosure as required by law, but the receiving Party shall prior to making any disclosure, if lawfully permitted to do so, notify the disclosing Party of the requested disclosure and shall use its reasonable efforts to cooperate with the disclosing Party, but at the expense of the disclosing Party, in any efforts by the disclosing Party to minimize the extent of the Confidential Information disclosed and the persons to whom disclosed.
Permissible Disclosures. Nothing in this Agreement shall prohibit or restrict Executive from: (i) making any disclosure of information required by law, (ii) providing information to, or testifying or otherwise assisting in any investigation or proceeding brought by, any federal or state regulatory or law enforcement agency or legislative body, any self-regulatory organization, or the Company’s designated legal, compliance or human resources personnel, or (iii) filing, testifying, participating in or otherwise assisting in a proceeding relating to an alleged violation of any federal, state or municipal law relating to fraud, or any rule or regulation of the Securities and Exchange Commission or any self-regulatory organization.
Permissible Disclosures. Except as otherwise limited in this Agreement, Business Associate may disclose PHI to other Business Associates of the Covered Entity [i] as directed by the plan sponsor, or [ii] to perform its duties under the Service Agreement. Notwithstanding any provision hereof, or any other prior agreement by the Parties, it shall be the Covered Entity’s sole responsibility (and not the responsibility of Business Associate) to ensure that the Covered Entity has entered into the appropriate Business Associate agreements with its Business Associate’s.

Permissible Disclosures. Except as otherwise limited in this Agreement, B.A. may disclose PHI or ePHI for the proper management and administration of B.A., provided that disclosures are required by law, or that B.A obtains reasonable assurances from the person to whom the information is disclosed that it will remain confidential and used or further disclosed only as required by law or for the purpose for which it was disclosed to the person, and the person notifies B.A. of any instances of which it is aware in which the confidentiality of the information has been breached.
Permissible Disclosures. Nothing in this Agreement shall prohibit or restrict Executive from: (a) making any disclosure of information required by law, (b) disclosing the contents of the section of this Agreement entitled Restrictions to potential or subsequent employers, (c) providing information to, or testifying or otherwise assisting in any investigation or proceeding brought by, any federal or state regulatory or law enforcement agency or legislative body, any self-regulatory organization, or the Company’s designated legal, compliance or human resources personnel, (d) reporting, filing, testifying, participating in or otherwise assisting in a proceeding relating to an alleged violation of any federal, state or municipal law relating to fraud, or any rule or regulation of the Securities and Exchange Commission or any self-regulatory organization, or (e) making other disclosures that are protected under the whistleblower provisions of federal or state law or regulation.
Permissible Disclosures. Notwithstanding any provision of this Agreement to the contrary, Member shall not be obliged to maintain in confidence:
a. information which is, or subsequently becomes within the knowledge of the general public through no fault of the Member;
b. information which was previously known to Member at the time of the receipt of the information;
c. information which is subsequently obtained from a third party who has obtained the information through no fault of Member;
d. information which has been, or subsequently is, developed independently of any disclosure hereunder, by Member;
e. information required to be disclosed to government agencies or pursuant to court order by Member, but only to the extent that such disclosures are so required. In such instances, Member shall, before making such disclosure and to the extent legally permitted, immediately provide written notice of such required disclosure to ETI in order to permit ETI to protect its interests in preserving the secrecy of the information.
