Permit and License. As soon as practicable after the Closing, the PRC Companies shall, and the Warrantors shall cause the PRC Companies to, obtain and maintain all of the necessary Governmental Authorizations in full compliance with applicable laws for the conduct of their business as currently conducted and as proposed to be conducted, including but not limited to filings of all the domestic non-special purpose cosmetic products produced by any Group Company or any third party entrusted by the Group Companies with the provincial NMPA or any other Governmental Authorities with competent jurisdiction after the Closing. The Domestic Company, shall, and the other Warrantors shall procure it to, as soon as possible after the Closing and if practicable, apply for the Permit of Audiovisual Internet Dissemination (信息网络传播视听许可), the applicable Value-Added Telecommunication Operation License, the Internet Culture Operation Permit (网络文化经营许可证) and any other license or permits for the business it proposes to conduct. To the extent permitted by the applicable laws, each of the Group Companies and the Founders shall procure each of the Group Companies to, (1) use its best efforts to maintain in a timely manner all requisite consents and permits for conducting the Business in compliance with all applicable laws, and (2) if so required by any applicable laws, obtain additional consents and permits necessary for conducting the Business as soon as possible but in any event no later than the time limit required by the applicable PRC laws or the competent Governmental Authorities.
Permit and License. As soon as practicable after the Closing, the Domestic Company shall, and the Founders and other Group Companies shall cause the Domestic Company to, obtain all the permits and licenses and necessary governmental authorizations for the conduct of their business as currently conducted and as proposed to be conducted in full compliance with applicable laws, including but not limited to, the Value Added Telecommunication Operation License and the Internet Culture Operation License, as applicable. To the extent permitted by the applicable laws, each of the Group Companies and the Founder Parties shall procure each of the Group Companies to, use its best efforts to obtain and maintain in a timely manner all requisite consents and permits for conducting the ordinary course of business or any business to carry out in the future in compliance with all applicable laws.

To the extent permitted by the applicable laws, each of the Group Companies and the Founders shall procure each of the Group Companies to, (1) use its best efforts to maintain in a timely manner all requisite consents and permits for conducting the Business in compliance with all applicable laws, and (2) if so required by any applicable laws, obtain additional consents and permits necessary for conducting the Business as soon as possible but in any event no later than the time limit required by the applicable PRC laws or the competent Government Authorities.

To the extent permitted by the applicable laws, each of the Group Companies and the Key Parties shall procure each of the Group Companies to, use its best efforts to obtain and maintain in a timely manner all requisite Governmental Authorizations for conducting the Principal Business in compliance with all applicable laws. Without limiting the generality of the foregoing sentence, (i) the Domestic Company and the Founder shall procure each of the PRC Companies and its affiliated schools and education centres to obtain and renew (if applicable) necessary certificate for private non-enterprise entities (if applicable) and operation permit or filing to operate education and training business as soon as practicable after the Note Closing and ensure the lacking or deficiency of such certificate or operation permits and filings will not adversely affect the initial public offering of the Group Companies as a whole; (ii) all the articles of association and education operation permits concerning the schools and education centres operated by the Key Group Companies must be updated to reflect that the applicable Key Group Company is the owner thereof, as soon as practicable after the Note Closing but not later than October 31, 2017; (iii) the education operation permits concerning at least 90% of the schools and education centres operated by the Key Group Companies must pass the annual inspection for the year 2016 by the PRC education authority as soon as practicable after the Note Closing but not later than September 30, 2017; (iv) all the premises of schools and education centres operated by Key Group Companies must pass fire safety inspection as soon as practicable after the Note Closing; (v) the PRC Companies shall duly file tuition fee reports of the schools with the local price administration authority as soon as practicable after the Note Closing (vi) the PRC Companies that engage in publishing business shall obtain the publishing operation permit as soon as practicable after the Note Closing.
Permit and License. The Company shall, and the Seller shall procure the Company to, obtain and maintain in a timely manner all requisite consents and permits for conducting the principal business in compliance with all applicable laws and regulations, including without limitation to (a) duly obtain the License Type 4 (advising on securities) and the License Type 9 (asset management) according to the Securities and Futures Ordinance of Hong Kong prior to December 31, 2021, and (b) be registered as a broker-dealer with at least one internationally- recognized securities exchange other than the Stock Exchange of Hong Kong, including but not limited to securities exchanges in the United States„_Singapore or the United Kingdom and be qualified to engage in the stock brokerage business in the United States, Singapore or the United Kingdom, as applicable, prior to December 31,2022. The Seller and the Company further covenant that transactions contemplated hereunder will in no circumstance result in any adverse effect on the License Type 1 (dealing in securities) held by the Company and application plan of the Company in relation to applying for License Type 4 (advising on securities) and the License Type 9 (asset management) according to the Securities and Futures Ordinance of Hong Kong.
