Phase II Environmental Report. After January 1, 2004, Parent shall deliver a phase-II environmental report with respect to each parcel comprising the Real Property Collateral, within ninety (90) days after Agent's request, the scope of the report and the results thereof shall be acceptable to Agent."

Phase II Environmental Report. Seller agrees to undertake at its cost a Phase II environmental investigation at the Telford property of the Business. Seller agrees to undertake at its cost any remedial work required as a result of such report.
Phase II Environmental Report. Buyer shall have received from FRESI the Phase II environmental report with respect to the properties to be leased pursuant to the Lease.
Phase II Environmental Report. If a Phase II Environmental Report of the Premises is requested by WC, WC and SST shall share the cost of such report equally.
Phase II Environmental Report. If required by the Buyer's lender and if the Phase I Environmental Site Assessment performed on the Company Real Property recommends that a Phase II Environmental Site Assessment ("Phase II") be performed, the Company will apply for and obtain a Phase II of the Company's Real Property. The Company will deliver to the Buyer a copy of all resulting Phase II reports promptly after receipt thereof. The cost of the Phase II shall be borne equally by Buyer and the Company.
Phase II Environmental Report. Manitex shall use its reasonable best efforts to deliver, or cause to be delivered, to Buyer a “Phase II ESA” as set out and recommended in the Phase I Environmental Report within 30 days from Closing or as soon as practicable thereafter. The cost and remuneration of the environmental consultant and the completion of the “Phase II ESA” will be at the sole cost of Manitex.
Phase II Environmental Report. Prior to the Closing Date, the Purchaser may cause an environmental consultant retained by the Purchaser to perform such environmental assessments relating to the Real Property as the Purchase may consider necessary or desirable. The costs of such assessments shall be paid by the Vendor, to a maximum of $15,000. All such environmental assessments shall be performed at times reasonably acceptable to the Vendor without undue interference with the operations of the Business, and the Purchaser shall repair (and be responsible for the costs thereof) any material damage to the Real Property or adjacent lands resulting therefrom. The Vendor shall take the remediation measures identified in Schedule 5.1(20). In addition, if the environmental assessments referred to above disclose any non-compliance by the Real Property or the Business with any Environmental Laws, the Vendor shall take all measures as are, in the opinion of the Purchaser (acting reasonably), necessary to correct same. In addition, if additional environmental issues requiring remediation to comply with Environmental Laws are revealed during the course of any such remediation measures, the Vendor will remediate same. The Vendor shall cause all such remediation measures to be undertaken at the Vendor's expense as quickly as is reasonably practicable following the delivery by the Purchaser to the Vendor of a copy of the environmental report prepared by the Purchaser's environmental consultant; provided, however, that if, prior to the Closing Date, the Vendor determines (acting reasonably) that the estimated costs of remediation (including the measures identified in Schedule 5.1(20)) exceed $500,000 in the aggregate and the Vendor determines that it is not prepared to incur such costs to perform the remediation measures required by the Purchaser, or the Purchaser determines (acting reasonably) that it is not likely to be satisfied with the resulting environmental condition of the Real Property (despite the Vendor's remediation measures), then either the Vendor or the Purchaser may terminate this Agreement by notice to the other Party, in which event both Parties shall be released from their respective obligations under this Agreement. ----------------
