The property is being sold on an “AS IS, WHERE IS” basis, and no warranty or representation, either express or implied, concerning the property is made by the Seller or the auction company. All information contained in all related materials is subject to the terms and conditions outlined in the purchase agreement. Each potential bidder is responsible for conducting his/her own independent inspections, investigations, inquiries, and due diligence concerning the property. Conduct of the auction and increments of bidding are at the direction and discretion of the Auctioneer. All announcements day of sale will take precedence over printed material. The Auction Company and Sellers reserve the right to preclude any person from bidding if there is any question as to the person’s credentials or fitness to bid. Announcements will be allowed on auction day ONLY with prior approval from First Mid Ag Services.

PLACE OF SALE. This agreement is made and entered into the State of Minnesota for goods, materials and services to be provided and sold by Seller and purchased by Customer in the State of Minnesota. At Seller's option, litigation of any dispute arising hereunder may be commenced in the state of Minnesota. In that event, Customer hereby consents to the jurisdiction of the Courts of the State of Minnesota.

PLACE OF SALE. The integrity of the Company’s marketing plan is built upon person-to- person, one-on-one, and in-home presentation methods of sale. Except as expressly permitted herein, Sellers may not promote or sell products or services to or through, directly or indirectly, any retail store or other fixed retail location, including but not limited to drugstores, pharmacies, supermarkets, health food stores, flea markets, swap meets, shopping mall booths and the like. A Seller may sell products through retail establishments that require membership or appointment, and the products are demonstrated in person by a third party. Sellers may participate at exhibits, tradeshows or other public events/conferences by filling out a tradeshow request form and obtaining prior written approval by the Company.

PLACE OF SALE. SELLER will deliver the Aircraft for sale to BUYER in Tel Aviv, Israel (the "Delivery Location"), unless such location creates a tax liability in connection with the purchase and/or sale of the Aircraft, in which case SELLER will deliver the Aircraft for sale to BUYER at an alternate location mutually agreed by SELLER and BUYER (the "Sale Location").

PLACE OF SALE. SELLER will deliver each Aircraft for sale to BUYER at a place reasonably agreed among SELLER, the Lessee of such Aircraft and BUYER (each, a “Sale Location”).

PLACE OF SALE. For the purposes of this Ordinance, all retail sales are consummated at the place of business of the retailer unless the tangible personal property sold is delivered by the retailer or his agent to an out-of-state destination or to a common carrier for delivery to an out-of-state destination. PLACE OF SALE. If Customer fails to timely cure any default, Cedar Graphics may immediately, without notice, terminate all of Cedar Graphics’ obligations under the Conditions of Sale and/or Quotation. QUOTATION. 12. An inspection sheet of any form can be submitted for Customer approval, at no charge, provided Customer is available at the press during the time of makeready. In the event of default, Customer agrees to promptly cure the default. Cedar Graphics warrants only title to the goods and their conformity to the specifications contained herein. Lost press time due to Customer delay, or Customer changes and corrections, will be charged at current rates. 21. Setting up a design file for pocket folder is not that easy. Cedar Graphics will maintain in confidence all information furnished to Cedar Graphics by Customer provided that such information is identified, in writing, as confidential. You have to consider how the design will look like on the front, inside panels, and even the folder’s pockets. 10. Customer understands and agrees that no agent, employee, or representative of Cedar Graphics has authority to bind Cedar Graphics to any affirmation, representation or warranty concerning the subject matter of this agreement which is not set forth herein, and that any affirmation, representation or warranty which is not set forth herein shall not constitute a warranty. Any changes to such specifications that require additional production time or other additional costs will be charged in addition to the price set forth in the quotation. Upon acceptance of quote, performance by Cedar Graphics is expected to begin within a reasonable time frame (i.e. fifteen (15) days).
