Unless otherwise agreed to by the Parties, Zai covenants that its activities and rights under this Agreement are limited to the Lead Product until such time as the Lead Product receives Initial FDA Approval. Zai covenants not to undertake any activities outside the scope of the license and the foregoing restriction of this Section 2.2. Following the Initial FDA Approval for the Lead Product, Zai may practice the license granted under Section 2.1 for Licensed Products other than the Lead Product.

Xxxxx or buyers must also have the capability to provide a mill scale slip including company name, date, species, product, and detailed measurements of product that may include height and length measurements for stick scaled cord products, board feet measurements for sawlog products, or net weight scale for weight scaled products. Note: hardwood bolts and hardwood logs, poles and wood shipped to buyers without scalers (firewood, unmanned landings, private wood yards) require xxxxx scale by the Seller’s Representative.

Sony or any Sony Parties may introduce new Products by providing InfoBeat with the information specified in Section A(2)(a) of EXHIBIT A; provided, however, the parties agree to negotiate in good faith an adjustment to the fees applicable to such new Products if (i) the monthly volume of E-Mail Distribution for such Products is less than the Minimum E-Mail Volume specified in Section A(2)(a)(5) of EXHIBIT A for three (3) consecutive months beginning by the tenth month after such Products are made commercially available to consumers or (ii) the cost to InfoBeat of Product maintenance and Customer Service for any new Products introduced by Sony or any Sony Party per unit of E-Mail Distribution volume substantially exceeds such cost to InfoBeat of Product maintenance and Customer Service for the existing Products.

Insignia Products licensed to Phoenix under the terms of this Addendum may not be used for set-top boxes or to execute or run JavaTV-based platforms, and Insignia must ensure that Phoenix is bound by this restriction and that Phoenix's licensees of the Insignia Products are similarly bound.

The Customer shall not (i) sell, transfer, lease, sublease, assign or otherwise dispose of any Product or any interest therein; (ii) allow any Third Party to possess or use a Product or Software; (iii) pledge, hypothecate, mortgage, grant a security interest or lien in or otherwise encumber any Product or Software, or permit any Third Party to obtain any interest in any Product or Software; or (iv) remove any proprietary markings of Cellebrite from any Product or Software.
Product Limitations. 6.1. Usage verification. Customer understands and acknowledges that the Software may enforce its Product Limitations. Additionally, upon Zoomer Analytics’ written request, such request not to exceed once every six months, Customer shall provide Zoomer Analytics with a signed certification verifying that the Software is being used in accordance with this Agreement. In addition to the foregoing, at Zoomer Analytics’ written request, Customer will permit Zoomer Analytics to review and verify Customer’s records, deployment, and use of the Software for compliance with the terms and conditions of this Agreement, at Zoomer Analytics’ expense. Any such review shall be scheduled at least ten days in advance, shall be conducted during normal business hours at Customer’s facilities, and shall not unreasonably interfere with Customer’s business activities.
