Usage Verification. At RStudio’s written request, and no more than once every twelve (12) months (or more frequently if a previous violation has taken place), you will certify to RStudio that you are in compliance with this Agreement and the restrictions set forth on the Order Form.

Usage Verification. Within thirty (30) days of BeyondTrust’s request, Customer shall provide a certified report detailing Customer’s installation and usage of the Software with sufficient specificity to establish Customer’s compliance (or non-compliance) with the access and use limitations set forth in Section 1.1, above.
Usage Verification. Customer understands and acknowledges that the Software may track and/or enforce its usage limits, including but not limited to license keys, user counts, and other technical enforcements of license limitations. Additionally, Rapid7 may make a written request, such request not to exceed once every six (6) months, upon which request Customer shall provide Rapid7 with a signed certification verifying that the Software is being used pursuant to the provisions of this Agreement. In addition to the foregoing, at Rapid7's written request, Customer will permit Rapid7 to review and verify Customer's records, deployment and use of the Software for compliance with the terms and conditions of this Agreement, at Rapid7's expense. Any such review shall be scheduled at least ten (10) days in advance, shall be conducted during normal business hours at Customer's facilities, and shall not unreasonably interfere with Customer's business activities.
Usage Verification. At bioMérieux's request, but not more frequently than annually, User will allow bioMérieux to review User's deployment and use of the BIONUMERICS® Software for compliance with the terms and conditions of this Agreement, at bioMérieux's expenses. Any such reviews shall be scheduled at five (5) days in advance, shall be conducted during normal business hours at User’s facilities, and shall not unreasonably interfere with User's business activities. If User's use of the BIONUMERICS® Software is found to be greater than contracted for, User will be invoiced for the additional licenses or license upgrades (based on the applicable units of measure, e.g., servers, server tiers or users) and the unpaid license fees shall be payable in accordance with this Agreement. Additionally, if the unpaid fees exceed five percent (5%) of the license fees paid for the subject BIONUMERICS® Software, then User shall also pay bioMérieux's reasonable costs incurred to carry out the audit.

Usage Verification. We may request annually a certified report detailing your installation and usage of the Products, including whether or not you have exceeded the scope of License granted. You will provide the report within 10 business days following our request. Some Software may contain devices that allow the Software to connect with our servers to ascertain compliance with the Permitted Licenses. You will cooperate with us to ascertain your usage and compliance with this Agreement, including allowing us to access the Products remotely. If your use of any Product is found to exceed the scope of License granted, you will be charged additional license and Support fees at our then-current rates, for each instance of additional use in excess of the License scope granted and the fees will be payable in

Usage Verification. Where applicable, Licensee acknowledges that the Software includes a phone home capability that will periodically connect to the Internet and transmit license usage data to Netwrix for purposes of verifying Licensee’s compliance with this Agreement. The information collected by Netwrix may include the license key, the application(s) being audited with the Software, and the number of users/objects being audited with the Software (the “Phone Home Data”). If the Software does not include a phone home capability or Licensee disables the phone home capability, then Licensee shall, upon Netwrix’s request (which request may not be more frequently than annually), certify Licensee's usage of the Software and permit Netwrix to review Licensee's use of the Software for compliance with this Agreement. Any reviews shall be scheduled at least fifteen (15) days in advance, shall be conducted during normal business hours at Licensee's facilities, and shall not unreasonably interfere with Licensee's business activities. If Licensee's use of the Software is found to be greater than contracted for, such over-use will be deemed an Order for all licenses used in excess of the contracted quantity and Licensee will be invoiced for and agrees to pay for such additional licenses at the same per unit cost as the contracted quantity, in accordance with the terms of the Agreement.

Licensee acknowledges that the Software includes a self-audit and phone home capability that will periodically connect to the Internet and transmit back to MSP360 (CloudBerry Lab) information related to usage of the Software for purposes of license validation, auditing, and verifying compliance with licensing terms. The information collected by MSP360 (CloudBerry Lab) may include your license key, the application(s) being audited with the Software, and the number of users/objects being audited with the Software (the “Phone Home Data”).
