PRODUCT, PRICE, ORDERING AND MINIMUM. A. Product Models 1. The initial Product models available hereunder are set forth on APPENDIX A-1. Additional Product models may be agreed to by the parties in writing by execution of a New Model Addendum, substantially in the form of APPENDIX A-2. Orders for Product models for which there is a "Remark" on APPENDIX A-1 must comply with that "Remark." Seller has no obligation to accept Orders or to deliver any Product for which Seller does not accept Orders due to the unavailability or substantial increase in Seller's cost of parts or components for such Product. 2. Buyer has accepted the initial models of Product set forth on APPENDIX A-1. Buyer agrees to provide all necessary tooling, jigs, special equipment, etc. to Seller needed for the manufacture of the initial models and the additional Product models. Should any additional tooling, jigs, special equipment, etc. be required, it shall be at the cost of Buyer. Seller will exercise ordinary care in the normal maintenance and care of such tooling, jigs, special equipment, etc. Buyer is responsible for all risks relating to the tooling, jigs, special equipment, etc. For any additional Product models agreed upon, if any, Seller will provide drawings or other information for Buyer's approval. Seller will provide a written quote to Buyer setting forth any tooling requirements and costs applicable to each additional future Product model (for which Buyer will be responsible). Buyer will be responsible for any taxes, duties, etc., levied regarding the same. 3. Seller will make available for purchase by Buyer Product in accordance with the terms and provisions of this Contract. Nothing in the Contract will require Buyer to buy or Seller to sell any quantities of Product, absent firm, accepted Orders. 4. Manufacturer of the Product will be at a location determined by Seller, in its sole discretion. The initial location will be Laguna, The Philippines. The location may be moved by Seller in its sole discretion. Seller will make a reasonable good faith effort to give Buyer 120 days prior written notice of such move.

  • Product Price Termination under any of the above paragraphs shall not result in any change to unit prices for Products not terminated.

  • Product Prices Product prices and validity of product prices are stated in the Offer and/or in the Individual Agreement.

  • Price Schedule, Payment Terms and Billing, and Price Adjustments (a) Price Schedule: Price Schedule under this Contract is set forth in Exhibit B.

  • Product Pricing Contract Prices are the sum of annual Base Prices and Quarterly fuel surcharges, as detailed below. Pricing for shipments each month should be based on the Contract Prices for the most recent quarter.

  • Unit Price Work Work to be paid for on the basis of unit prices as defined and described in the Contract Documents. A percentage markup for overhead or profit shall be included in all unit prices.

  • MINIMUM ORDER QUANTITY The State makes no commitment to purchase any minimum or maximum quantity, or dollar volume of products from the selected suppliers. Utilization of this agreement will be on an as needed basis by State Agencies and/or Cooperative Participants, Cities, Counties, Schools K-12, Colleges and Universities. The State will award to multiple suppliers; however, the State reserves the right to purchase like and similar products from other suppliers as necessary to meet operational requirements.

  • Price Schedule 35.1. All prices under this agreement are set forth in the attachments designated Table One and Table Two of this Agreement are hereby incorporated into, and made a part of, this Agreement. 35.2. Subject to the provisions of Part B, Section 4 of this Agreement, all rates provided under this Agreement shall remain in effect for the term of this Agreement.

  • Contract Price 3.1 For full and complete performance, OWNER agrees to pay CONTRACTOR the sum of $659,258.00 payable in accordance with the terms hereof and to the satisfaction of the OWNER.

  • Contract Quantity The Contract Quantity during each Contract Year is the amount set forth in the applicable Contract Year in Section D of the Cover Sheet (“Delivery Term Contract Quantity Schedule”), which amount is inclusive of outages.

  • C1 Contract Price In consideration of the Contractor’s performance of its obligations under the Contract, the Authority shall pay the Contract Price in accordance with clause C2 (Payment and VAT).
