PRODUCT SPECIFICATION CHANGES. 8.01 Tidel reserves the right, without prior approval from or notice to Distributor, to make changes in design or improvements to the Product. Tidel is not obligated to make any such changes to the Product previously delivered to Distributor.

PRODUCT SPECIFICATION CHANGES. GDTI has the right to make any changes to any of the Products as it deems necessary or desirable without notice to Distributor.
PRODUCT SPECIFICATION CHANGES. In the event Natus changes the Product ----------------------------- Specifications, Natus shall promptly advise CMA in writing of such changes, and CMA shall promptly advise Natus as to any scheduling and/or price adjustments which may result from such changes. Prior to implementation of such changes, the Parties agree to negotiate in good faith in an attempt to reach agreement on (a) the new price for any Product manufactured hereunder by CMA which embodies such changes, and (b) any other amendments to this Agreement which may be necessitated by such changes (i.e., an adjustment to the lead time for purchase ---- orders). Natus agrees to reimburse CMA for the reasonable, mutually agreed expenses incurred by CMA as a result of such changes, including, but not limited to, reimbursing CMA for its development costs, capital expenditure costs and costs for any components or other materials rendered unusable as a result of such changes.
PRODUCT SPECIFICATION CHANGES. Seller shall notify Buyer in advance and in writing of any proposed change in the following aspects of the Products or their components: design, material, composition or source of any raw material; method of producing, processing or testing; change in subcontractors for producing, processing or testing; site of manufacture; labeling; and/or substantial change to any quality control system. No such change shall be made without Company's prior written consent. Seller shall provide product to Buyer’s print specifications, if any.
PRODUCT SPECIFICATION CHANGES. Nothing in this Agreement shall impose, or be deemed to impose, on Schering the obligation to manufacture or sell any of the Products or prevent Schering from making such changes in any of the Products as Schering, in its sole discretion, may deem appropriate.
PRODUCT SPECIFICATION CHANGES. Notwithstanding anything herein to the contrary, the Buyer shall be solely responsible for any and all costs related to any changes to any Product (including any Product Specifications) requested by the Buyer. The Buyer shall be responsible for any and all costs incurred by the Seller related to raw materials, packaging and finished goods that may no longer be necessary or required due to any such changes to any such Product or Product Specification (it being understood that the Seller shall use reasonable best efforts to mitigate the amount of any such costs).
PRODUCT SPECIFICATION CHANGES. Mitel reserves the right to make changes in the design or construction of any Mitel PRODUCTS as it deems necessary or desirable. Mitel will make a reasonable effort to provide prior notification to VAR of said changes. VAR agrees that Mitel shall incur no obligation to make any change whatsoever on product previously sold hereunder should it make a subsequent change nor shall any change create any implications whatsoever that any part manufactured or furnished without such change is in any way defective. Mitel agrees to provide reasonable notice of its intent to discontinue manufacture of a Mitel PRODUCT.

PRODUCT SPECIFICATION CHANGES. In the event Criticare changes the Product Specifications, Criticare shall promptly advise TriVirix in writing of such changes; or in the case of a change to the specification required due to parts obsolescence or unavailability, TriVirix shall promptly advise Criticare in writing as to any scheduling and/or price adjustments which may result from such changes. Prior to implementation of such changes, the Parties agree to negotiate in good faith in an attempt to reach agreement on (a) the new price for any Product manufactured or service provided hereunder by TriVirix which embodies such changes, and (b) any other amendments to this Purchase Order which may be necessitated by such changes (i.e., an adjustment to the lead time for purchase orders). Criticare agrees to reimburse TriVirix for the reasonable, mutually agreed expenses incurred by TriVirix as a result of such changes, including, but not limited to, reimbursing TriVirix for its development costs, capital expenditure costs, rework costs, and costs for any components or other materials rendered unusable as a result of such changes.
