Professional Services Term. Each Order for Professional Services shall take effect on the Order date and remain in effect until (i) all Professional Services under such Order have been provided, or (ii) the applicable Order is terminated for convenience by either party by providing thirty (30) days’ prior written notice to the other party.

Professional Services Term. Professional Services shall be performed on the schedule stated in the applicable Statement of Work (if any), provided, however, that the term of any Statement of Work shall not exceed the Subscription Term. Either Party may terminate a Statement of Work prior to its stated end date: (a) for cause upon written notice to the other Party if the other Party has committed a material breach of the terms of the Statement of Work and the breach remains uncured 30 days after the breaching party has received written notice of the breach from the non-breaching party; or (b) if the other Party becomes the subject of a petition in bankruptcy or any other proceeding relating to insolvency, receivership, liquidation or assignment for the benefit of creditors.

  • Educational Services Any service or supply for education, training or retraining services or testing including: special education, remedial education; cognitive remediation; wilderness/outdoor treatment, therapy or adventure programs (whether or not the program is part of a Residential Treatment facility or otherwise licensed institution); job training or job hardening programs; educational services and schooling or any such related or similar program including therapeutic programs within a school setting.
