Subscription Term and Renewal. (a) The term of a Subscription shall commence upon the date specified in the Quotation or as otherwise agreed upon by the parties in writing and continue for the period specified in the Quotation or as otherwise agreed upon by the parties in writing (the “Initial Term”), unless terminated prior to the end of such period in accordance with the terms hereof.
Subscription Term and Renewal. 7.1. Initial Subscription Term The initial subscription term shall begin on the effective date of your Order Form, unless otherwise agreed, and renew at the end of the period selected during the subscription process (“Initial Subscription Term”).
Subscription Term and Renewal. The initial Subscription Term for a Hosted Service Subscription License is stated in the applicable Order. The Subscription Term will automatically renew for successive one-year periods unless either Company or Nuance gives notice of nonrenewal to the other party and to the Authorized Reseller not less than 30 days before the expiration of the current term, at the renewal rate set forth in Company’s Order or, if no renewal rate is specified, at the contracted rate applicable under Company’s Order immediately before renewal.
Subscription Term and Renewal. Each subscription term for Subscription Services will commence on the Subscription Start Date, and will continue for the period specified in the Sales Order or, if not so specified, one year (an “Initial Term”). Upon expiration of the Initial Term the parties may renew the Subscription Services term for successive periods of at least one year each (each, a “Renewal Term”) at such rates as may be mutually agreed in writing between them. Five Quarters will provide Customer with notice of its proposed fees for renewal at least one month prior to the expiration of the then-current term. The Initial Term and each Renewal Term are individually referred to in these Terms as the “Subscription Term”.

At least 30 days prior to the expiration of a Subscription Term, PowerDMS will send a new Service Order notifying Customer of the pricing applicable to a renewal subscription for a period equal to the expiring Subscription Term. PowerDMS reserves the right to increase the subscription fees applicable to the renewal subscription. The new Service Order shall be deemed to be effective if Customer (a) returns the executed Service Order to PowerDMS, (b) remits payment to PowerDMS of the fees set forth in the invoice referencing the Service Order, or (c) the Customer or any of its Users access or use the Services after the expiration of the previous Subscription Term.
Subscription Term and Renewal. The initial Subscription Term for a Hosted Service Subscription License shall be twelve (12) months unless otherwise stated in the applicable Order. Unless Company specifically chooses no automatic renewals, the Subscription Term will automatically renew for successive one-year periods at the contracted prices applicable under Company’s Order immediately before renewal unless Company takes action to cancel such Order in AMP prior to the expiration of the then-current Subscription Term or annual renewal/extension thereof. If Company specifically chooses no automatic renewals, then the Subscription Term shall cease at the conclusion of the initial 12-month Term, and Company and its Authorized Users are subject to the procedures set forth in Section 6.5 (Effect of Termination); in such event to continue accessing and using the Hosted Services after expiration of the initial Term, Company would be required to place a new Order for the Hosted Services.

At least 30 days prior to the expiration of a Service Order, PowerDMS will send a new Service Order notifying Customer of the pricing applicable to a renewal subscription for a period equal to the expiring subscription term or one year (whichever is shorter). The new Service Order shall be deemed to be effective if Customer (a) returns the executed Service Order to PowerDMS, (b) remits payment to PowerDMS of the fees set forth in the invoice referencing the Service Order, or (c) the Customer or any of its Users access or use the Services after the expiration of the previous term.

Subscription Terms shall automatically renew for additional periods equal to the expiring Subscription Term, unless either party gives the other notice of non-renewal at least thirty (30) days prior to the end of the relevant Subscription Term. The per-unit pricing during the subsequent Subscription Term will increase by up to 10% above the applicable pricing in the prior Subscription Term, unless BizLibrary provides Client notice of different pricing at least sixty (60) days prior to the applicable renewal term. Except as expressly provided in the applicable Order Form, renewal of promotional or one-time priced subscriptions will be at BizLibrary’s applicable list price in effect at the time of the applicable renewal. User counts during any subsequent Subscription Term will be subject to the provisions of Section 4.2 hereof.

Notwithstanding anything to the contrary, any renewal in which subscription volume for any Services has decreased from the prior term will result in re-pricing at renewal without regard to the prior term’s per-unit pricing.

The terms and conditions of this Agreement shall remain in full force and effect during any Renewal Term unless otherwise mutually agreed upon in writing by the parties.
