Prohibited Act. Seller will not merge or consolidate with or into any other corporation, partnership or trust, sell, lease, or otherwise dispose of any of the assets (except in accordance with Section 8.1 hereof), sell any additional partnership interests, liquidate, or dissolve, nor agree to do any of the foregoing.
Prohibited Act. The Consultant further promises to promptly advise the Company if the Consultant learns of any unauthorized release or use of any Confidential Information, and further promises to take reasonable measures to prevent unauthorized persons or entities from having access to, obtaining, being furnished with, disclosing, or using any Confidential Information. This time limit will not apply to (a) Confidential Information that qualifies as a trade secret, or (b) third party Confidential Information. The Company’s trade secrets will remain protected for as long as they qualify as trade secrets under applicable law. Items of third party Confidential Information will remain protected for as long as allowed under the laws and/or separate agreements that make them confidential. Notwithstanding the foregoing, the Consultant will make reasonable efforts to provide the Company with advance notice if the Consultant is required to share Confidential Information after such Consultant’s performance period with the Company.

(1) To use rent-a-cars for the automobile transport business or similar purposes without the consent of our company and without permission. based on the Road Transport Law. (2) To have a car rental other than the intended use, or to be driven by a person other than the driver listed on the rental certificate under Article 8, paragraph 3 and the person who received our consent. (3) Doing any act that infringes our rights, such as subletting a rental car or offering it for other collateral. (4) To change the current situation such as counterfeiting or alteration of car registration number or vehicle number mark of rental car, remodeling rental car or refurbishing. (5) To use rent-a-car for various tests or competitions, or to use other vehicles for towing or boosting without receiving our consent. (6) To use a rental car in violation of laws or public order and morals. (7) To participate in damage insurance for rent-a-car without receiving our consent. (8) To bring rental car out of Japan. (9) Damage to the electric vehicle or charger due to inappropriate handling of the electric vehicle or charger. (10) Other acts that violate the terms of borrowing under Article 8, paragraph 1.

Prohibited Act. For the purpose of this Employment Agreement, a "Prohibited Act" shall mean: (i) if after one hundred twenty (120) days following the date of a Change of Control, the Executive is assigned any duties inconsistent in any respect with the Executive's position (including status, offices, titles and reporting requirements), authority, duties or responsibilities as contemplated by this Employment Agreement or which have, prior to a Change of Control, then been assigned to the Executive, or any other action by the Company which results in a diminution in such position, authority, duties or responsibilities, excluding for this purpose (x) an isolated, insubstantial and inadvertent action not taken in bad faith and which is remedied by the Company promptly after receipt of notice thereof given by the Executive, or (y) a Prohibited Act to which the Executive either consents or does not object, in writing, to the Company within thirty (30) days of the occurrence of such Prohibited Act; (ii) any failure by the Company to comply with any of the provisions of this Employment Agreement, other than an isolated, insubstantial and inadvertent failure not occurring in bad faith and which is remedied by the Company promptly after receipt of notice thereof given by the Executive; (iii) the Company requires the Executive to be based at any office or location which is not within thirty (30) miles of the Company's current offices at 1000 Business Center Drive, Lake Mary, Florida, exxxxx xxx xxxxxx xxxxxxxxxx xxxxxxxx xx xxx xxxformance of the Executive's responsibilities; (iv) any reduction in the Executive's base salary or change in any incentive compensation plans in which the Executive is then participating; or (v) a termination or purported termination by the Company of the Executive's employment without cause, as provided by this Employment Agreement.
