Proration for Partial Year. If this Lease terminates other than on the last day of a calendar year (other than due to Tenant’s default), the amount of Escalation Rent for such fractional calendar year shall be prorated on a daily basis. Upon such termination, Landlord may, at its option, calculate the adjustment in Escalation Rent prior to the time specified in Section 5.2 above. Tenant’s obligation to pay Escalation Rent, as set forth in Paragraph 5.2, above, shall survive the expiration or termination of this Lease.
Proration for Partial Year. Operating Expenses that cover a period of time not within the Lease Term shall be prorated on a daily basis. OR This is a “modified gross” lease. Tenant’s Monthly Rent is inclusive of all costs, including, but not limited to: Landlord’s cost for insurance, tenant improvements, common area charges, maintenance, and repairs of the Premises and Building, including any parking structures.

Lessee’s obligation to pay Clinic Deficits incurred during the Term of this Lease, as set forth in this Section 3.4, shall survive the expiration or termination of this Lease.

Any imposition of taxes referred to in Section 3.6.1 above relating to a fiscal period of a taxing authority, a part of which period is included within the term of this Lease and a part of which is included in a period of time before the Commencement Date or after the termination of this Lease (whether or not such imposition shall be levied, assessed, confirmed, imposed or become a lien upon the Premises, or shall become payable, during the term of this Lease), shall be paid by Tenant as above but shall be prorated between County and Tenant.

If this Lease terminates on a day other than the last day of a calendar year, the amounts of Additional Rent payable by Tenant with respect to the calendar year in which such termination occurs shall be prorated on the basis of a three hundred sixty (360) day year consisting of twelve (12) thirty (30) day months.
