PROVISION OF GOODS & SERVICES. 4.1. The Contractor will deliver Goods/ Services in accordance with Schedule 1 and at all times and in all respects in accordance with the terms and conditions of this agreement.
PROVISION OF GOODS & SERVICES. 4.1 The Contractor shall deliver the Goods and Services at the time(s), to the location(s) and on the date(s) specified in the PO or otherwise agreed in writing between the Parties.
PROVISION OF GOODS & SERVICES. This provision relates to the supply, installation, Inspection, servicing and maintenance of outdoor gym equipment. Suppliers will be required at all times to ensure sufficient stocks are maintained to fulfil orders placed by the Authority within the required timescales. Suppliers are also required to ensure that contingency arrangements are in place for alternative supply should they find they are unable to meet the requirements of the contract, within the relevant lead-times to ensure continuity of supply to the end user. Suppliers will also be required to ensure sufficient staff and transport are available to undertake installation and servicing works within the required timescales. The specific requirements may vary over the life of the contracts, where additional needs may be identified or amendments necessary. The suppliers will be notified by means of formal contract variations to ensure the contracts meet the up to date needs of the Authority. The contracts are open for use by other Government Departments, NDPB’s, Police Forces and Public Sector Authorities. Each individual Authority shall be responsible for their own purchasing from the contracts and remittance sites and ordering methods may vary between organisations. All other non MoJ organisations will be appointed by a formal variation to the contracts to ensure business terms are reflective of the individual’s needs.

PROVISION OF GOODS & SERVICES. Sharp shall provide the goods and services set forth in the applicable Quote or other written agreement in accordance with the specifications and with these Terms and Conditions. Sharp’s liability for failure to comply with the Agreement, and Customer’s sole remedy, shall be, at Sharp’s discretion, to replace or repair the goods and/or services not in conformity with the Agreement, in which case any non- conforming goods shall be returned to Sharp’s facilities for the purpose of replacement or repair. Customer shall give Sharp written notice of rejection of goods or services that fail to meet the specifications, or breaches Sharp’s warranties, covenants, and obligations under this Agreement, within thirty (30) days of delivery. Sharp, at its sole cost and expense, shall provide Customer with any missing quantities and replace as soon as commercially reasonable packaging for any non-conforming packaged products and Customer, at its sole cost and expense, shall replace applicable products and components for such non-conforming packaged products. Any claim of non-conforming goods or services must be made in writing to Sharp within the thirty (30) day period set forth above or it shall be deemed to have been waived by Customer. The obligation of Sharp set forth above to repair or replace non-conforming goods or services shall be Customer’s sole and exclusive remedy for non-conforming goods and services.

Suppliers will be required at all times to ensure sufficient stocks are maintained to fulfil orders placed by the Authority within the required timescales.   • Verizon OSS Services Access to Verizon Operations Support Systems functions. The term “Verizon OSS Services” includes, but is not limited to: (a) Verizon’s provision of Z-Tel Usage Information to Z-Tel pursuant to Section 8.1.3 below; and, (b) “Verizon OSS Information”, as defined in Section 8.1.4 below.

  • Provision of Professional Services We will provide any Professional Services set out in a relevant Order Form in a professional and workmanlike manner, using reasonable skill and care in accordance with industry practice and any relevant SOW. Where it is necessary for Us or Our Group to visit your sites in order to perform Professional Services you shall at no cost to Us or Our Group: (a) provide reasonable access to any relevant sites at times to be agreed; (b) inform Us of health and safety, and security policies applicable at the sites; (c) ensure the sites are safe;

  • Procurement of Goods Part A: General Goods shall be procured in accordance with the provisions of Section I of the “Guidelines for Procurement under IBRD Loans and XXX Credits” published by the Bank in January 1995 and revised in January and August 1996, September 1997 and January 1999 (the Guidelines) and the following provisions of Section I of this Schedule.   • Conversion of Wholesale Services to Network Elements or Network Elements to Wholesale Services Upon request, BellSouth shall convert a wholesale service, or group of wholesale services, to the equivalent Network Element or Combination that is available to Global Dialtone pursuant to Section 251 of the Act and under this Agreement or convert a Network Element or Combination that is available to Global Dialtone pursuant to Section 251 of the Act and under this Agreement to an equivalent wholesale service or group of wholesale services offered by BellSouth (collectively “Conversion”). BellSouth shall charge the applicable nonrecurring switch-as-is rates for Conversions to specific Network Elements or Combinations found in Exhibit A. BellSouth shall also charge the same nonrecurring switch-as-is rates when converting from Network Elements or Combinations. Any rate change resulting from the Conversion will be effective as of the next billing cycle following BellSouth’s receipt of a complete and accurate Conversion request from Global Dialtone. A Conversion shall be considered termination for purposes of any volume and/or term commitments and/or grandfathered status between Global Dialtone and BellSouth. Any change from a wholesale service/group of wholesale services to a Network Element/Combination, or from a Network Element/Combination to a wholesale service/group of wholesale services, that requires a physical rearrangement will not be considered to be a Conversion for purposes of this Agreement. BellSouth will not require physical rearrangements if the Conversion can be completed through record changes only. Orders for Conversions will be handled in accordance with the guidelines set forth in the Ordering Guidelines and Processes and CLEC Information Packages as referenced in Sections 1.13.1 and 1.13.2 below.

  • Web Services Our Web Services are designed to enable you to easily establish a presence on the Internet. Our Web Hosting and Design is composed of our Web Hosting and Design Publishing Component and other miscellaneous components. These components may be used independently or in conjunction with each other.

  • Approved Services; Additional Services Registry Operator shall be entitled to provide the Registry Services described in clauses (a) and (b) of the first paragraph of Section 2.1 in the Specification 6 attached hereto (“Specification 6”) and such other Registry Services set forth on Exhibit A (collectively, the “Approved Services”). If Registry Operator desires to provide any Registry Service that is not an Approved Service or is a material modification to an Approved Service (each, an “Additional Service”), Registry Operator shall submit a request for approval of such Additional Service pursuant to the Registry Services Evaluation Policy at xxxx://xxx.xxxxx.xxx/en/registries/rsep/rsep.html, as such policy may be amended from time to time in accordance with the bylaws of ICANN (as amended from time to time, the “ICANN Bylaws”) applicable to Consensus Policies (the “RSEP”). Registry Operator may offer Additional Services only with the written approval of ICANN, and, upon any such approval, such Additional Services shall be deemed Registry Services under this Agreement. In its reasonable discretion, ICANN may require an amendment to this Agreement reflecting the provision of any Additional Service which is approved pursuant to the RSEP, which amendment shall be in a form reasonably acceptable to the parties.

  • Dialysis Services This plan covers dialysis services and supplies provided when you are inpatient, outpatient or in your home and under the supervision of a dialysis program. Dialysis supplies provided in your home are covered as durable medical equipment.

  • Professional Services Warranty Kodak warrants that it shall perform Professional Services in a professional manner using appropriately skilled personnel in accordance with generally accepted industry standards and Kodak’s then current policies and procedures. Subject to the provisions of condition 16.1 Customer’s sole and exclusive remedy under the warranty described in this condition shall be, at Kodak’s option, (1) re-performance of the non-conforming Professional Services, or (2) refund of the amount paid by Customer for the non-conforming Professional Services.
