Purpose of Review. The Investor represents and warrants that it is reviewing the Confidential Information in connection with evaluating the Investor’s or an affiliate’s investment in, and the value of, the Subject Securities and the underlying Mortgage Loans (including evaluating compliance with the terms of the related pooling and servicing agreement); provided, however, this shall not prohibit the Investor’s future purchase of any other instrument or security.
Purpose of Review. The purpose of the review is to: (a) assess whether, during the current funding period: (i) the Provider’s performance of its obligations under clauses 12, 16 and 17 has provided a reasonable degree of transparency for the Authority as to the Provider’s planning and operations; (ii) the Provider’s performance of its obligations under clause 5 has assisted the Authority to give effect to the Authority’s statutory objective; and (iii) the performance incentives and delivery incentives have effectively, efficiently and positively incentivised the Provider in its performance of the services; (b) set the reset settings for the next funding period so that they adequately: (i) enable the Provider to meet its costs of providing the services and attain a reasonable profit margin in doing so; and (ii) incentivise investment and efficiency by the Provider; and (c) review any other aspect of the services or operation of this agreement during the current funding period that is agreed by the parties before the start of the review period.

Purpose of Review. The evaluation process is intended to be a positive and productive one. The process will focus upon identifying and building on strengths, pointing out areas for improvement or development, and optimizing performance with a view to improving the overall service of the Association office and assisting Employees to further their career objectives.
