Recommendations to the Meeting of the Parties. The Group issued the following recommendations to the Meeting of the Parties: • Prepare, for the next meeting of the Parties, a plan of action to prevent, and react to, the calling into question of the AIDCP and its Parties.‌ • Temporarily, until the adoption of a plan of action, the Secretariat, after consulting with the Parties, shall pronounce itself against the calling into question of the AIDCP and its Parties. These pro- nouncements will include relevant AIDCP information such as statistics and achievements. • Invite the Parties to encourage the industry to use the AIDCP Dolphin-Safe label.‌ • Propose concrete actions for the promotion of the Dolphin-Safe certification through new platforms such as social networks to have a greater impact on the consumers.
Recommendations to the Meeting of the Parties. After extensive discussion and evaluation of outreach and promotion mechanisms, the following recom- mendations were adopted: a) That the Secretariat contact the American Museum of Natural History of New York City to offer information that may be useful in updating the contents of the tuna-dolphin relationship exhibited at that museum from the perspective of the AIDCP work and results. In the event this generates costs, the Secretariat shall inform the Parties. b) That current AIDCP information and outreach materials and their labeling be kept in open consul- tation with the Parties to continue updating and integrating them to consolidate a set of actions that can be implemented coordinately, consistently, and even progressively. c) To update the promotional video regarding the table of historical dolphin mortality up to 2021 and that the positions of those interviewed be updated, taking into account that in many cases they have changed. d) To make the best use of the current communication systems provided by the Internet (i.e., social media) to disseminate the information generated in the AIDCP. This with the understanding that social media are two-way; support for the work or extreme criticism of the program can be received. Therefore, there must be a clear definition of the logistics required with the permanence needed and a policy to ensure the informational character of the medium. e) Encourage the work already conducted by the Secretariat and which was mentioned by the Director of the IATTC to disseminate the contents of the AIDCP and its achievements through social media. f) To consider the potential use of a portion of the AIDCP surplus to carry out dissemination work. g) That the Secretariat investigate the status of the negotiation process of a new binding legal instru- ment on biodiversity conservation in maritime areas beyond national jurisdiction (BBNJ) to analyze the possibility of instructing the Secretariat to participate in this process and record the progress of the work of the AIDCP and the IATTC on conservation matters.

  • Meeting of the Board of Directors The Board of Directors of the Company may hold meetings, both regular and special, within or outside the State of Delaware. Regular meetings of the Board may be held without notice at such time and at such place as shall from time to time be determined by the Board. Special meetings of the Board may be called by the President on not less than one day’s notice to each Director by telephone, facsimile, mail, telegram or any other means of communication, and special meetings shall be called by the President or Secretary in like manner and with like notice upon the written request of any one or more of the Directors.

  • Board of Directors Meetings The Company shall use its best efforts to ensure that meetings of its Board of Directors are held at least four times each year and at least once each quarter.

  • Meeting of Shareholders (a) Promptly after the date hereof, the Company shall take all action necessary in accordance with the GBCC and its Articles of Incorporation and by-laws to convene a meeting of shareholders ("Company Shareholders Meeting") to be held as promptly as practicable after the S-4 Registration Statement is declared effective by the SEC for the purposes of voting upon this Agreement and the Merger. Neither the Board of Directors of the Company nor any committee thereof shall, except as required by their fiduciary duties as determined in good faith (in reliance on the opinion of its outside counsel), withdraw or modify, or propose to withdraw or modify, in a manner adverse to Parent, the approval or recommendation by the Board of Directors of the Company or such committee of this Agreement or the Merger. Nothing contained in this Section 6.3(a) shall prohibit the Company from making any disclosure to the Company's shareholders if, in the good faith judgment of the Board of Directors of the Company (in reliance upon the opinion of its outside counsel), such disclosure is necessary for the Board of Directors to comply with its fiduciary duties under applicable law. The Company shall deliver to Parent, concurrent with the execution and delivery of this Agreement, the Voting Agreement executed by Szlam. (b) If necessary, Parent shall take all action necessary in accordance with the DGCL and its Certificate of Incorporation and by-laws to convene a meeting of stockholders (the "Parent Stockholders Meeting") to be held as promptly as practicable after the S-4 Registration Statement is declared effective by the SEC for the purposes of voting upon this Agreement and the Merger. Neither the Board of Directors of Parent nor any committee thereof shall, except as required by their fiduciary duties as determined in good faith (in reliance on the opinion of its outside counsel), withdraw or modify, or propose to withdraw or modify, in a manner adverse to the Company, the approval or recommendation by the Board of Directors of Parent or such committee of this Agreement or the Merger.   • Open Meetings (a) All scheduled meetings of the Employer shall be open meetings, except in those cases where personnel, financial or other matters require that the meeting be considered confidential. (b) In those cases where a meeting is designated confidential, the Union shall be provided with a reason for such designation. (c) A designated member of the Union shall be provided a copy of the agenda and minutes of all open meetings. (d) Notwithstanding 18.04(b), any faculty member may request that an Union representative attend as an observer at meetings where the faculty member reasonably believes their working conditions under Article 12 will be affected. Management will be notified by the Union in advance of the meeting regarding their attendance at the meeting.

  • Final Meeting The goal of this subtask is to complete the closeout of this Agreement. • Meet with Energy Commission staff to present project findings, conclusions, and recommendations. The final meeting must be completed during the closeout of this Agreement. This meeting will be attended by the Recipient and CAM, at a minimum. The meeting may occur in person or by electronic conferencing (e.g., WebEx), with approval of the CAM. The technical and administrative aspects of Agreement closeout will be discussed at the meeting, which may be divided into two separate meetings at the CAM’s discretion. o The technical portion of the meeting will involve the presentation of findings, conclusions, and recommended next steps (if any) for the Agreement. The CAM will determine the appropriate meeting participants. o The administrative portion of the meeting will involve a discussion with the CAM and the CAO of the following Agreement closeout items:  Disposition of any state-owned equipment.  Need to file a Uniform Commercial Code Financing Statement (Form UCC-1) regarding the Energy Commission’s interest in patented technology.  The Energy Commission’s request for specific “generated” data (not already provided in Agreement products).  Need to document the Recipient’s disclosure of “subject inventions” developed under the Agreement.  “Surviving” Agreement provisions such as repayment provisions and confidential products.  Final invoicing and release of retention. • Prepare a Final Meeting Agreement Summary that documents any agreement made between the Recipient and Commission staff during the meeting.

  • Leave, Board of Directors A nurse who is elected to the Board of Directors of the Ontario Nurses' Association, other than to the office of President, shall be granted upon request such leave(s) of absence as she or he may require to fulfill the duties of the position. Reasonable notice - sufficient to adequately allow the Hospital to minimize disruption of its services shall be given to the Hospital for such leave of absence. Notwithstanding Article 10.04, there shall be no loss of seniority or service for a nurse during such leave of absence. Leave of absence under this provision shall be in addition to the Union leave provided in Article 11.02

  • Meeting A copy of the decision shall be sent to the grievant and to the UFF grievance representative if the grievant elected self-representation or representation by legal counsel.
