Rejection of Unilateral Orders. The Contractor may reject any unilateral order if the Contractor determines that it cannot feasibly perform the order, or if the Contractor does not concur with the maximum ceiling amount. However, each unilateral order shall be deemed to have been accepted by the Contractor unless within fifteen days of issuance of the order, the Contractor notifies the Contracting Officer in writing of its rejection of the order.

The Seller may reject any unilateral order if the Seller determines that it can not feasibly perform the order and documents the reason for rejection in writing to the Purchaser. However, Xxxxxx agrees that each unilateral order shall be deemed to have been accepted by the Seller unless within fifteen (15) calendar days of issuance of the order, the Seller notifies the Purchaser or the Government, as applicable. If rejected, Xxxxxx agrees to work with Xxxxxxxxx or the Government, if requested, to remedy the cause for rejection of the order.
