REPORTS TO BE FURNISHED. * Progress Reports must include, at a minimum, a written narrative addressing the progress of all phases of program development and any available statistics or evaluative data on the program. Progress Report forms are available to complete and submit through the grantee portal (xxx.xxxxxxxxxxxxxx.xxx/xxxx/xxxxx) ** Final Report must be a complete review and report of the program including all statistical data, evaluation results and a detailed accounting of grant expenditures. Final Report forms are available on the Foundation grantee portal (xxx.xxxxxxxxxxxxxx.xxx/xxxx/xxxxx). Failure to submit a final report will impact the organization’s ability to obtain a grant in the future.
REPORTS TO BE FURNISHED. The Company will mail the following reports to each Stockholder for as long as such Stockholder is a holder of any Shares in the Company: (a) As soon as practicable after the end of each fiscal year, and in any event within 90 days thereafter, such financial statements of the Company as of the end of such fiscal year prepared in accordance with GAAP, as the Board of Directors shall decide. (b) As soon as practicable after the end of the first, second and third quarterly accounting periods in each fiscal year of the Company and in any event within 45 days thereafter, such quarterly financial information of the Company for such period as the Board of Directors shall decide. (c) As soon as practicable after the end of each fiscal month and in any event within 30 days thereafter, such monthly financial information of the Company for such period as the Board of Directors shall decide. (d) Within 30 days prior to the beginning of each fiscal year, an Annual Budget, which shall be developed and approved by the Board of Directors. The Annual Budget shall set forth full and complete forecasted balance sheets, statements of operations and statements of cash flows for such fiscal year and for each month within that year. The Annual Budget shall also describe the marketing, production, research and development, organization and staffing and financial strategies that support the Annual Budget's forecasted figures.

REPORTS TO BE FURNISHED. The Company will furnish copies of the following documents to all Holders: (a) on the earlier of the date actually filed or the date due, all reports which the Company shall be required under the Exchange Act to file with the Commission, including but not limited to Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q and Current Reports on Form 8-K; each thereof shall be accompanied by a certificate of the chief financial officer of the Company to the effect that such Report and the financial statements included therein have been properly prepared and are correct and that he has caused the provisions of this Agreement to be reviewed and has no knowledge of any default by the Company in the performance or observance of any of the provisions of this Agreement or the Notes, or if he has such knowledge, specifying such default and the nature thereof; and the Annual Report shall also be accompanied by reports or certificates of the Company's independent certified public accountants and the statement of such public accountants that they have caused the provisions of this Agreement to be reviewed and have no knowledge of any default by the Company in the performance or observance of any of the provisions of this Agreement or the Notes or, if they have such knowledge, specifying such default and the nature thereof. (b) promptly after receipt, a copy of all detailed audits or reports submitted to the Company by independent public accountants in connection with any annual or interim audits of the books of the Company or any subsidiary; and (c) promptly upon the sending or making available of the same, a copy of all reports and financial statements as the Company makes available to its stockholders.

  • Commission Reports and Reports to Holders If, at any time, the Company is not subject to the reporting requirements of Sections 13 or 15(d) of the Exchange Act to file any periodic reports with the Commission, the Company agrees to furnish to the Holders of Notes and the Trustee for the period of time during which the Notes are Outstanding: (i) within 90 days after the end of the each fiscal year of the Company (which fiscal year ends on December 31), audited annual consolidated financial statements of the Company and (ii) within 45 days after the end of each fiscal quarter of the Company (other than the Company’s fourth fiscal quarter), unaudited interim consolidated financial statements of the Company. All such financial statements shall be prepared, in all material respects, in accordance with GAAP.”

  • Information Furnished Each Borrower will furnish to Bank: (a) Within forty-five (45) days after the close of each fiscal quarter, except for the final quarter of each fiscal year, its unaudited balance sheet as of the close of such fiscal quarter, its unaudited income and expense statement with year-to-date totals and supportive schedules, and its statement of retained earnings for that fiscal quarter, all prepared in accordance with GAAP. (b) Within one hundred twenty (120) days after the close of each fiscal year, a copy of its statement of financial condition including at least its balance sheet as of the close of such fiscal year and its income and expense statement, and its retained earnings statement for such fiscal year, examined and prepared on an audited basis by independent certified public accountants selected by Borrower and reasonably satisfactory to Bank, in accordance with GAAP. (c) Prompt written notice to Bank of any Event of Default or breach under any of the terms or provisions of this Agreement or any other Loan Document, any litigation which would have a material adverse effect on Borrower's and its Subsidiaries' financial condition, and any other matter which has resulted in, or is likely to result in, a material adverse change in Borrower's and its Subsidiaries' financial condition or operations. (d) Within forty-five (45) days after the close of each fiscal quarter, a certification of compliance with all covenants under this Agreement, executed by Borrower's duly authorized officer, in form acceptable to Bank. (e) Prior written notice to Bank of any change in Borrower's, chairman, chief executive officer, president or chief financial officer or, Borrower's name or state of organization, and the material relocation of Borrower's assets. (f) Within fifteen (15) days after Borrower knows or has reason to know that any Reportable Event or Prohibited Transaction (as defined in ERISA) has occurred with respect to any defined benefit pension plan of Borrower, a statement of an authorized officer of Borrower describing such event or condition and the action, if any, which Borrower proposes to take with respect thereto. (g) Such other financial statements and information as Bank may reasonably request from time to time, including without limitation update(s) to Schedule 3.2.
