Representations and Warranties of AFI. (a) AFI is a business trust duly organized, validly existing and in good standing under the laws of Delaware. AFI has the power and authority to own its properties and carry on its business as now being conducted, and to execute, deliver and perform, as applicable, its obligations under this Agreement, the respective Film Purchase Agreements, the Distribution Agreement and the Credit Agreement.
