Resignation as a Director. In the event of any termination of employment pursuant to this Agreement, Executive shall be deemed to have resigned voluntarily from the Board and any Committee of the Board, and from the board of directors (and any committee thereof) of all subsidiaries of the Company, upon the effective date of termination or such earlier date as may be agreed in writing between the Company and Executive, and Executive’s signature on this Agreement shall, without the need to any further action, constitute Executive’s resignation from such boards of directors in such circumstance.
Resignation as a Director. On termination of the Employment for any reason, you must immediately, at the request of the Company resign your office as a director of the Company and of any other Group Company or Associated Company without compensation for loss of office but without prejudice to any rights which you may have to treat such request as a breach of this Agreement.
Resignation as a Director. 14.1 The Executive shall resign without any payment by way of compensation, damages, payment in lieu of notice or otherwise from the Board and the boards of any Group Company of which the Executive is director;
14.1.1 if at any time during the Executive's employment the Executive is prevented from performing the Executive's duties whether through incapacity or because the Company has exercised its rights under clause 15 or otherwise howsoever and the Company requires the Executive to resign; and in any event
Resignation as a Director. In accordance with Section 6 of the Employment Agreement, Executive hereby resigns any office that Executive may have held as an officer or director of Xxx Energy Corporation or any of its subsidiaries, effective as of the Date of Termination.
Resignation as a Director. If Employee's employment under this Agreement is terminated for any reason, Employee agrees to resign as a director of all Constituent Companies of which he is a director, such resignation to be effective (a) in the case of a termination by Employee pursuant to Section 4.01, on the date Employee delivers the relevant Notice of Termination and (b) in the case of a termination by Employers pursuant to Section 4.02, on the date Employee receives the relevant Notice of Termination.
Resignation as a Director. In the event Franxx'x xxxloyment under this Agreement is terminated for any reason, Franxx xxxees, if requested by the Board, to resign as a director of all Constituent Companies of which he is a director, such resignation to be effective immediately or at such later time as the Board shall request.
Resignation as a Director. Unless otherwise agreed to by the Company, if the Executive’s employment ends for any reason, the Executive agrees to resign from all offices and directorships for the Company and its affiliates effective on the last day of the Executive’s employment with the Company.
Resignation as a Director. If the Executive resigns as a Director he shall immediately resign (or be deemed to have resigned) as Chief Executive Officer (CEO) and to have terminated this Agreement. The provisions of this Section 5 shall apply to such termination of this Agreement (that is, such termination or deemed termination of this Agreement by the Executive shall either have been with Good Reason or not with Good Reason, as the case may be, as provided for above).

If Xxxxxx'x employment under this Agreement is terminated for any reason, Xxxxxx agrees, if requested by the Board, to resign as a director of all Constituent Companies of which he is a director, such resignation to be effective immediately or at such later time as the Board shall request.
Resignation as a Director. The Board of Directors of the Company may require Xxxxxx to resign from the Board (and Xxxxxx shall resign) and Xxxxxx may resign from the Board at any time after September 13, 2004. On the date hereof, the Company counsel shall confirm in writing to Xxxxxx that he is, and will be following the Separation Date, covered under the Company’s current D&O policy.
