Resignation for Cause. During the term of this Agreement, the Employee shall be entitled to resign from his employment with Employer, and receive the payments provided for below, in the event that the Employee is not in breach of this Agreement and Employer (i) reassigns the Employee to a position of lesser rank or status than President, or (ii) reduces the Employee's compensation or other benefits below the amounts provided for under Sections 3 and 4 hereof. Upon the occurrence of any of these events, the Employee shall have thirty days to provide Employer notice of his intention to terminate this Agreement. In the event the Employee elects to so terminate this Agreement, such termination shall be treated as a termination without "cause" by Employer under Section 6(c) hereof, and the Employee shall be entitled to receive all payments and other benefits called for under such Section 6(c).

Resignation for Cause. If the Employee resigns or is terminated For Cause during any Earnout Period, such Employee shall not be entitled to and shall forfeit any and all right to any Earnout Share for that particular Earnout Period and any and all future Earnout Periods.

In the event the Employee elects to so terminate this Agreement, such termination shall be treated as a termination without "cause" by Employer under Section 6(c) hereof, and the Employee shall be entitled to receive all payments and other benefits called for under such Section 6(c).

Resignation for Cause. Employee may resign and thereby terminate --------------------- the Period of Employment, without liability, by giving 15 days notice to Inktomi in the case that (i) without Employee's written consent, Inktomi significantly reduces Employee's duties and responsibilities; (ii) Inktomi reduces Employee's Compensation; or (iii) Inktomi relocates Employee to a facility or location more than 35 miles from WebSpective's principal offices located in Needham, Massachusetts, without Employee's written consent. In the event Employee terminates the employment relationship under this subsection (e), as severance, Inktomi shall (i) continue to pay Employee his then current base salary for a period of four weeks or for that number of weeks equal to two times the number of years that Employee has collectively worked for Inktomi and WebSpective, whichever period is longer, and (ii) if such termination occurs during the initial one year Period of Employment, pay Employee in one lump sum payment the total integration bonus set forth on Exhibit A, pro rated for the number --------- of months during the initial one year Period of Employment that Employee was an employee, less any portion of the integration bonus previously paid. All such payments shall be subject to applicable tax withholding.
Resignation for Cause. (i) At any time during the Term of Employment, Executive may resign for cause and terminate this Agreement by delivering to the Bank a written notice of resignation. The notice of resignation shall set forth the reasons for Executive’s resignation for cause. For purposes of this Agreement, “resignation for cause” shall be defined as the termination of employment by Executive following the occurrence of any of the following events and the failure of the Bank to cure, if applicable, within the period specified in this Section 5(e): (A) the assignment to Executive of duties that are materially inconsistent with Executive’s position, authority, duties or responsibilities, or any other action by the Bank which results in a material diminution in such position, authority, duties or responsibilities as set forth herein; (B) the Bank requiring Executive, without his consent, to be based at any office or location that is materially different geographically from the main office in Alexandria, Louisiana; or (C) any material breach of this Agreement by the Bank, excluding for this purpose an isolated, insubstantial or inadvertent action not taken in bad faith and which is remedied by the Bank promptly after receipt of notice thereof given by Executive. Within ninety (90) days of the occurrence of any of the events described above, Executive shall give the Bank written notice that such event constitutes cause for resignation and the Bank shall thereafter have thirty (30) days in which to cure such an occurrence (except in the case of resignation following a Change in Control). If the Bank has not cured such an occurrence within the 30-day period, the event shall constitute grounds for “resignation for cause.”

Upon the occurrence of any of these events, the Employee shall have thirty days to provide the Bank notice of his intention to terminate this Agreement. In the event the Employee elects to so terminate this Agreement, such termination shall be treated as a termination without Cause by Bank under Section 6(c) hereof, and the Employee shall be entitled to receive all payments and other benefits called for under such Section 6(c).
