Resignation from Directorships. Upon the termination by whatever means of his employment under this Agreement:
12.1 the Director shall at the request of the Company immediately resign from office as a director of the Company and from all offices held by him in any other Group Company and from all other appointments or offices which he holds as nominee or representative of any Group Company without claim for compensation and in the event of his failure so to do the Company is hereby irrevocably authorised to appoint some person in his name and on his behalf to sign and deliver such resignation or resignations to the Company; and
12.2 the Director shall not without the consent of the Company at any time thereafter represent himself still to be connected with the Company.
Resignation from Directorships. The termination of Executive’s employment for any reason under this Agreement shall constitute Executive’s resignation from any director position on the Board or on the board of directors of any affiliates of the Company, and Executive agrees that this Agreement shall serve as written notice of resignation in such circumstance.
Resignation from Directorships. The Employee shall forthwith resign in writing from all directorships, trusteeships and other offices he may hold from time to time with Employer or any Group Company without compensation for loss of office in the event of:
(a) the termination of the Employment; or
(b) either Employer or Employee serving on the other notice of termination of the Employment (unless Employer requests that such resignation be delayed until the date of termination of the Employment). In the event of Employee failing to comply with his obligations under this Section, he hereby irrevocably and unconditionally authorises Employer to appoint a person in his name and on his behalf to sign or execute any documents and/or do all things necessary or requisite to give effect to such resignations as referred to above.

16.1 the CFO shall at the request of the Company immediately resign from office as a director of the Company and a director of the Company and from such offices held by him in any Subsidiaries and Associated Companies as may be so requested and in the event of his failure so to do the Company is hereby irrevocably authorized to appoint some person in his name and on his behalf to sign and deliver such resignation to the Company and to each of the Subsidiaries and Associated Companies of which the CFO is at the material time a director or other officer.
16.2 the CFO shall not without the consent of the Company at any time thereafter represent himself still to be connected with the Company or any of the Subsidiaries and Associated Companies.
Resignation from Directorships. The Employee will resign from all offices which he holds in the Company and any Associated Company on the Termination Date and the Employee undertakes to sign and return a copy of the letter which 302864334 v2 appears at Schedule 3 to this Agreement. The Employee acknowledges that his resignation is the result of the mutual agreement of the parties, and not any specific disagreement between him and LKQ Corporation.
Resignation from Directorships. Upon the termination by whatever means of his employment under the Agreement:
a. the CEO & MD shall immediately cease to hold offices held by him in any holding company, subsidiaries or associate companies without claim for compensation for loss of office by virtue of Section 167 (1)(h) of the Act and shall resign as trustee of any trusts connected with the Company.
b. the CEO & MD shall not without the consent of the Board at any time thereafter represent himself as connected with the Company or any of its subsidiaries and associated companies.
Resignation from Directorships. Employee shall forthwith resign in writing from all directorships, trusteeships and other offices he may hold from time to time with EUSA or any Group Company without compensation for loss of office in the event of:
(a) the termination of the Employment; or
(b) either EUSA or Employee serving on the other written notice of termination of the Employment (unless EUSA requests that such resignation be delayed until the date of termination of the Employment). Employee shall, within thirty (30) days after signing this Agreement, appoint EUSA as his attorney by executing a Power of Attorney in the form set out in Schedule 1.
Resignation from Directorships. 13.1 Where you hold any Directorships, you will resign your Directorships by signing the letter attached at schedule 3 and will execute any other documents necessary to give effect to such resignation(s) in a form prescribed by the Company and will return this/these to the Company on or immediately before 1 August 2018.
13.2 The 2017 Instrument of Indemnity between you and Xxxxxxxxx Group plc (the Indemnity Instrument), will remain in full force and effect and you will continue to have the benefit of D&O cover as provided in that agreement.
Resignation from Directorships. The termination of this Agreement shall not constitute Consultant’s termination as a member and Chairman of the Board, unless mutually agreed upon by Consultant and the Board, provided that if Consultant is terminated by the Company for Due Cause, such termination shall constitute Consultant’s immediate resignation from any officer, director or fiduciary position with the Company.
