Resignation/Withdrawal. A Member may not resign from, withdraw from, or assign an interest in the Company, except as specifically permitted by this Agreement.

Resignation/Withdrawal. No Member may resign from or withdraw from the Company, other than by way of a Transfer (voluntary or involuntary) of all of its Membership Interest in accordance with the terms hereof, a transfer pursuant to a Credit Facility Foreclosure in accordance with the terms hereof, or as a consequence of the dissolution and liquidation of the Company.
Resignation/Withdrawal. The Equity Member shall not be entitled to resign or withdraw from the Company prior to the dissolution and winding up of the Company, unless it shall have transferred all of its interest in the Company to one or more other Persons in accordance with this Agreement and such Person or Persons shall have been admitted as an Equity Member in accordance with this Agreement. An Independent Member shall be entitled to resign only if he or she concurrently is resigning, or is removed, from his or her position as Independent Manager, and the resignation of the Independent Member shall be effective, without any further action by the Independent Member, upon the replacement of such Person assuming the position of Independent Manager, whereupon such replacement shall automatically and simultaneously become and be deemed admitted to the Company as the substituted Independent Member.
Resignation/Withdrawal. Promptly after the date on which any External Member, together with its Permitted Transferees, cease to hold shares of stock representing not less than 4% of the Total Voting Power of the Company based on the aggregate amount of stock issued and outstanding immediately after the consummation of the IPO, such External Member shall cause its Board designee to, and such Board designee shall, resign from the Board or withdraw such designee’s nomination to serve on the Board, as applicable, in each case, with immediate effect and shall no longer be considered a Director.

In the event that the Member who is in violation of this Section 7.6 is also a Manager, any other Member may exercise such remedies against the Member-Manager on behalf of the Company, including those remedies set forth in NRS §86.335.
Resignation/Withdrawal. A teacher may be permitted to withdraw a written resignation with the approval of the Superintendent. If a teacher wishes to have a conference with his principal concerning the resignation after its submission, the principal will hold such a conference. The teacher will have seven (7) days after his resignation is submitted by the principal to the School Board office in which to request the withdrawal of the resignation.
