Responsibility statements. The Scheme Booklet must contain responsibility statements, in a form to be agreed between the parties, to the effect that: (a) Pushpay has provided, and is responsible for, the Pushpay Information in the Scheme Booklet, and that none of the Bidder, its Related Companies or their respective Representatives assumes any responsibility for the accuracy or completeness of the Pushpay Information; (b) the Bidder has provided, and is responsible for, the Bidder Information, and that none of Pushpay, its Related Companies or their respective Representatives assumes any responsibility for the accuracy or completeness of the Bidder Information; and (c) the Independent Adviser has provided and is responsible for the Independent Adviser’s Report and none of the Bidder, Pushpay, or their respective Related Companies or Representatives assumes any responsibility for the accuracy or completeness of the Independent Adviser’s Report.

Responsibility statements. The Scheme Booklet will include a responsibility statement to the effect that: (a) SPAC will be responsible for the SPAC Information contained in the Scheme Booklet and, to the maximum extent permitted by law, neither BTH, Pubco or Merger Sub will be responsible for any SPAC Information and will disclaim any liability for SPAC Information appearing in the Scheme Booklet; (b) Pubco and Merger Sub will be responsible for the Pubco Information in the Scheme Booklet and, to the maximum extent permitted by law, neither BTH or SPAC will be responsible for any Pubco Information and will disclaim any liability for the Pubco Information appearing in the Scheme Booklet; (c) BTH will be responsible for the BTH Information in the Scheme Booklet and, to the maximum extent permitted by law, neither SPAC, Pubco or Merger Sub will be responsible for any BTH Information and will disclaim any liability for the BTH Information appearing in the Scheme Booklet; (d) the Independent Expert is responsible for the Independent Expert’s Report, and none of BTH, SPAC, Pubco, Merger Sub or their respective directors or officers assumes any responsibility for the accuracy or completeness of the Independent Expert’s Report; and (e) if the Scheme Booklet contains a statement on the letterhead of the BTH tax adviser of the tax consequences of the Scheme and related matters for Scheme Shareholders, that tax adviser is responsible for that letter.

Responsibility statements. (a) The Scheme Booklet will contain a responsibility statement to the effect that: (1) MergeCo is responsible for the MergeCo Information contained in the Scheme Booklet; (2) SPAC is responsible for the SPAC Information contained in the Scheme Booklet; (3) Carbon Revolution is responsible for the Carbon Revolution Information contained in the Scheme Booklet; and (4) the Independent Expert is responsible for the Independent Expert’s Report, and none of Carbon Revolution, MergeCo, SPAC or their respective directors or officers assumes any responsibility for the accuracy or completeness of the Independent Expert’s Report. (b) If Carbon Revolution, MergeCo and the SPAC disagree on the form or content of the Scheme Booklet, they must consult in good faith to try to settle an agreed form of the Scheme Booklet. If after five Business Days of consultation, Carbon Revolution, MergeCo and the SPAC are unable to agree on the form or content of the Scheme Booklet: (1) where the determination relates to SPAC Information, the SPAC will make the final determination, acting reasonably, as to the form and content of the SPAC Information; and (2) in any other case, the final determination as to the form and content of the Scheme Booklet will be made by Carbon Revolution, acting reasonably, provided that, if the SPAC disagrees with such final form and content, Carbon Revolution must include a statement to that effect in the Scheme Booklet.

Responsibility statements. The Scheme Booklet must contain responsibility statements, in a form to be agreed between EZCORP and CCV, containing words to the effect that: (a) CCV has provided, and is responsible for, the CCV Information in the Scheme Booklet, and that none of EZCORP and its directors, officers and employees assumes any responsibility for the accuracy or completeness of the CCV Information (other than the Nominee Directors who shall have the same level of responsibility as the other directors of CCV in relation to CCV Information that does not relate to the recommendation of the Independent Directors or the reasons for their recommendation); (b) EZCORP has provided, and is responsible for, the EZCORP Information, and that none of CCV and its directors, officers and employees assumes any responsibility for the accuracy or completeness of the EZCORP Information (other than the Nominee Directors who, as directors of EZCORP, will have the same level of responsibility as the other directors of EZCORP); and (c) the Independent Expert has provided and is responsible for the Independent Expert’s Report, and that none of EZCORP, CCV and their respective directors, officers and employees assumes any responsibility for the accuracy or completeness of the Independent Expert’s Report.

Responsibility statements. Without limiting clause 5.6 in relation to sub-clause (c) below, the Scheme Booklet must contain responsibility statements, in a form to be agreed between the parties, to the effect that: (a) the Target has provided, and is responsible for, the Target Information in the Scheme Booklet, and that none of the Bidder, its Related Companies or their respective Representatives assumes any responsibility for the accuracy or completeness of the Target Information; (b) the Bidder has provided, and is responsible for, the Bidder Information, and that none of the Target, its Related Companies or their respective Representatives assumes any responsibility for the accuracy or completeness of the Bidder Information; and (c) the Independent Adviser has provided and is responsible for the Independent Adviser’s Report and none of the Bidder, the Target, or their respective Related Companies or Representatives assumes any responsibility for the accuracy or completeness of the Independent Adviser’s Report.

Responsibility statements. (a) The Scheme Booklet will contain a responsibility statement to the effect that: (1) Newmont is responsible for the Newmont Information contained in the Scheme Booklet; and (2) Newcrest is responsible for the Newcrest Information contained in the Scheme Booklet. (b) If Newcrest and Newmont disagree on the form or content of the Scheme Booklet, they must consult in good faith to try to settle an agreed form of the Scheme Booklet. If after 5 Business Days of consultation, Newcrest and Newmont are unable to agree on the form or content of the Scheme Booklet: (1) where the determination relates to Newmont Information, Newmont will make the final determination, acting reasonably, as to the form and content of the Newmont Information; and (2) in any other case, the final determination as to the form and content of the Scheme Booklet will be made by Newcrest, acting reasonably.

Responsibility statements. The Issuer accepts responsibility for the information contained in this document (except for the Depfa Information and the Accounts Bank Information). To the best of the knowledge and belief of the Issuer the information contained in this document is in accordance with the facts and does not omit anything likely to affect the import of such information. Responsibility statements. 3.2.1 Each Investor acknowledges that any person which it appoints to the board of directors of the Offeror prior to the Effective Date shall be required, in accordance with the Code, to accept responsibility and give responsibility statements for certain information in the Offer Documentation and other statements made by Offeror during the course of the Offer and undertakes to procure that such persons shall accept responsibility and give responsibility statements for such information. 3.2.2 In addition, each Investor acknowledges that certain of its personnel of appropriate seniority and with appropriate authority may each be required, in accordance with the requirements of the Panel, to accept responsibility and give responsibility statements for certain information in the Offer Documentation and other statements relating or relevant to that Investor or its Concert Parties (other than the other Investors) only during the course of the Offer and undertakes to procure that such persons shall accept responsibility and give responsibility statements for such information.
