Right to Appoint One Board Member. (i) The Investor shall be entitled to appoint 1 (one) Director to the Board (“ Investor’s Director”) for such time as the Investor is a Qualified Investor. Upon the appointment of the Investor’s Director, the Parties shall, and shall cause their representatives on the Board to, meet (either in person or by telecommunication conference facility) in order to discuss and agree (in accordance with the requirements of this Agreement) upon the manner in which each of them will vote with respect to any resolution or decision required to effect the appointment of the Investor’s Director. In connection with any such vote, each of the Shareholders agrees (a) to cause its respective Board representatives to attend the respective Board meeting so called; and (b) to cause its Board representatives to vote in such a manner to comply with the decision taken by the Controlling Shareholders and the Investor in such previous meeting and in accordance with the provisions of this Agreement.

  • Right to Appeal Notwithstanding a determination by any forum listed in Section VI.D above that the Indemnitee is not entitled to indemnification with respect to a specific Proceeding, the Indemnitee shall have the right to apply to the court in which that Proceeding is or was pending, or to any other court of competent jurisdiction, for the purpose of enforcing the Indemnitee’s right to indemnification pursuant to this Agreement. Such enforcement action shall consider the Indemnitee’s entitlement to indemnification de novo, and the Indemnitee shall not be prejudiced by reason of a prior determination that the Indemnitee is not entitled to indemnification. The Company shall be precluded from asserting that the procedures and presumptions of this Agreement are not valid, binding and enforceable. The Company further agrees to stipulate in any such judicial proceeding that the Company is bound by all the provisions of this Agreement and is precluded from making any assertion to the contrary.

  • Committee Appointments Members of the transfer screening committee and transfer interview committee shall be taken from the general hiring committee. The hiring committee will determine the appointments to the transfer screening and interview committees under conditions in Sections 5.3.2.1 and 5.3.2.2.

An employee or officer who is a permanent appointee following completion of the probationary period or 2,080 hours of permanent service, and who accepts a non-promotive appointment in a classification having the same salary grade, or a lower salary grade, the appointee shall enter the new position at that salary step which is the same as that received in the prior appointment, or if the salary steps do not match, then the salary step which is immediately in excess of that received in the prior appointment, provided that such salary shall not exceed the maximum of the salary grade. Further increments shall be based upon the seniority increment anniversary date in the prior appointment.
