Rights and Responsibilities during County Operations. During any period of County operations, the Company shall relinquish responsibility and authority for the management of the Transfer Station and Drop-Box Sites, shall not be responsible for the performance of any of its operating obligations hereunder, and shall cooperate with and assist the County in managing and carrying out such operating obligations. To the extent requested by the County, the Company’s management and staff personnel shall remain on duty and perform such tasks as the County may direct. The County may in such circumstances operate the Transfer Station with County employees, or cause the Transfer Station or Drop-Box Site to be operated by other County contractors. It is specifically understood and agreed that the County’s exercise of its rights under this Section shall not create any liability on the part of the County to the Company.
