Rights and Responsibilities of the Escrow Agent. (a) The duties and responsibilities of the Escrow Agent shall be limited to those expressly set forth in this Escrow Agreement, and it shall not be subject to, nor obligated to recognize, any provision of any other agreement between, or direction or instruction of, any of the other parties to this Escrow Agreement. The Escrow Agent shall exercise the same degree of care towards the Escrow Funds as it exercises towards its own similar property. The Escrow Agent shall provide the Trust and the Company with the annual reports describing the assets of the Escrow Account at the end of such year, the activities within the Escrow Account during such year and such other information as may be reasonably requested by the Company or the Trust.

Escrow Agent shall not be subject to, nor required to comply with, any other agreement between or among any or all of the other parties hereto, or to which any other such person is a party, even though reference thereto may be made herein, or to comply with any direction or instruction (other than those contained herein or delivered in accordance with this Escrow Agreement) from any other party or entity acting on its behalf. Escrow Agent shall not be required to expend or risk any of its own funds or otherwise incur any financial or other liability in the performance of any of its duties hereunder.

Nothing in this Trust Agreement shall be construed to release any Administrative Trustee from liability for his or her own negligent action, negligent failure to act; or his or her own willful misconduct. To the extent that, at law or in equity, a Trustee has duties and liabilities relating to the Trust or to the Holders, such Trustee shall not be liable to the Trust or to any Holder for such Trustee’s good faith reliance on the provisions of this Trust Agreement. The provisions of this Trust Agreement, to the extent that they restrict the duties and liabilities of the Trustees otherwise existing at law or in equity, are agreed by the Depositor and the Holders to replace such other duties and liabilities of the Trustees.
