Salary and Expenses. The Manager shall be entitled to reasonable compensation for services as reasonably determined by the Sole Member and is also entitled to reimbursement by the Company for reasonable and necessary out-of-pocket expenses incurred by the Manager on behalf of the Company.

Salary and Expenses. The Company will pay Executive at the salary rate that was in place immediately prior to the Separation Date in accordance with the Company’s standard payroll practices through the Separation Date. (c) The Executive shall be entitled to (i) time off for all public holidays observed by the Company and (ii) vacation days in accordance with the applicable policies for the Company's senior executives. (d) The Company shall reimburse the Executive for all reasonable expenses the Executive incurs in accordance with the guidelines adopted from time to time by the Company.
