Sale and Purchase of Equipment. Subject to the terms and conditions hereof and on the basis of the representations and warranties set forth herein, the Lessee agrees to sell to the Trust, and the Trust agrees to purchase from the Lessee, on the Closing Date and immediately following consummation of the transactions described in the third and fourth recital clauses above, the Equipment described in Schedule 1-A, and, in connection therewith, the Trust agrees to pay to the Lessee the cost for each Unit as specified in Schedule 1-A. On the Closing Date, the Lessee shall deliver each Unit described on Schedule 1-A to the Trust, and the Trust shall accept such delivery.
Sale and Purchase of Equipment. Subject to the terms and conditions hereof and on the basis of the representations and warranties set forth herein, the Lessee agrees to sell to the Owner Trustee, and the Owner Trustee agrees to purchase from the Lessee, on the Closing Date and immediately following consummation of the transactions described in the third and fourth recital clauses above, the Equipment described in Schedule 1, and, in connection therewith, the Owner Trustee agrees to pay to the Lessee the cost for each Unit as specified in Schedule 1. On the Closing Date, the Lessee shall deliver each Unit described on Schedule 1 to the Owner Trustee, and the Owner Trustee shall accept such delivery.
Sale and Purchase of Equipment. (a) Subject to the terms and conditions set forth herein, Seller hereby irrevocably agrees to sell to Buyer from time to time during the term of this Agreement and to cause Ascend Credit to purchase from Seller and lease to Buyer up to $95,000,000 worth of Equipment, as may be selected by Buyer from the list of available Equipment set forth in Exhibit A and detailed in a purchase order. Such Equipment shall be --------- leased and sold on the terms and conditions of that certain Master Lease Agreement No. 9314 between Buyer and Ascend Credit dated for reference October 9, 1998, a copy of which is attached hereto as Exhibit B (the "Lease Agreement"). ---------
(b) In consideration for the Equipment, Buyer agrees to pay to Seller ***.
Sale and Purchase of Equipment a. The quantity and description of the cryptocurrency mining equipment subject to this Agreement (“Equipment”) shall be as set out in Schedule A attached hereto.
b. The Company reserves the right to make any changes in the specification of the Equipment which may be required to conform with any applicable laws and regulations or which do not materially affect their quality or performance.
Sale and Purchase of Equipment. At any time during the term of this Agreement, Buyer shall have the option to purchase any part or all of the Facilities. The purchase price shall be determined based upon an appraisal performed by an independent appraiser mutually agreed upon by both parties. The terms and conditions of any such sale shall be determined at the time of sale and upon terms and conditions mutually agreeable to both parties.
Sale and Purchase of Equipment. Seller agrees to sell and Buyer agrees to purchase from Seller, the Equipment listed on Schedule 1-- A, annexed hereto. Title to the Equipment shall

Subject to the terms, provisions, and conditions of this Agreement, Seller hereby sells, conveys, transfers, and delivers to Buyer and Buyer purchases from Seller, as of the Closing, all of Seller’s right, title and interest in and to the Equipment, free and clear of any and all title defects, mortgages, assignments, pledges, hypothecations, security interests, title or retention agreements, levies, executions, seizures, attachments, garnishments, deemed trusts, liens, easements, options, rights or claims of others, or charges or encumbrances of every kind or nature whatsoever. In addition, Seller shall use its best efforts to take any and all action to assign to Buyer any available manufacturer’s warranties with respect to the Equipment and its component parts, and to assist Buyer with processing any warranty claims against the manufacturer.
Sale and Purchase of Equipment. The parties agree to buy and sell the assets (“Assets”) described on Schedule “A” attached hereto and made a part hereof, on the terms and conditions set forth herein
(a) Upon the Commencement Date, Subtenant shall deliver to Sublandlord:
(i) the sum of Eight Hundred Thousand Dollars and 00/100 Cents ($800,000.00) (the “Asset Price”) by wire transfer to that certain bank account whose details are set forth in Schedule II; and
(ii) the Xxxx of Sale, in the form attached as Exhibit C (“Xxxx of Sale”) signed by Subtenant.
(b) Upon the Commencement Date, Sublandlord shall deliver to Subtenant:
(i) the Xxxx of Sale, signed by Sublandlord; and
(ii) certificates of title (if any) to the Assets.
(c) Within a reasonable time, but no later than 10 business days, following receipt of the Asset Price, Sublandlord shall:
(i) assign to Subtenant any and all guaranties, warranties, certificates, rights and privileges relating to the Assets, if any, and to the extent in effect on the Closing Date; and
(ii) deliver to Subtenant any documentation and manuals related to the Assets; and
(iii) pay any and all sales taxes or other transaction related taxes due in connection with the sale of the Assets to Subtenant.
(d) Sublandlord conveys the Assets to Subtenant in their “as is”, “where-is” condition, without any representation or warranty of any kind or nature whatsoever, except Sublandlord represents and warrants that it owns the Assets free and clear of all liens, charges and encumbrances and that the Xxxx of Sale shall transfer good and marketable title thereto, free and clear of all liens, charges and encumbrances whatsoever.
(e) This Agreement is, and the parties respective obligations hereunder are, conditional upon the satisfactory performance of the other party’s obligations as set forth in this Article 23.
Sale and Purchase of Equipment. UltraSource agrees to sell to Customer, and Xxxxxxxx agrees to purchase from UltraSource, the Equipment at the prices set forth herein.
