Sales Assistance. Elo sales representatives will provide sales support to Participant and may make joint visits to End Users, all as deemed reasonably necessary by Xxx at its sole discretion.
Sales Assistance. Whenever Ligand considers it reasonably necessary in order to maintain or increase the volume of sales of Products in the Territory, Ligand shall be entitled to send, at its own cost, representatives to visit Distributor or Distributor's customers or prospective customers. Ligand shall keep Distributor informed of promotional methods and techniques used by Ligand in respect of the Products.
Sales Assistance. Commit to and maintain a business model under which a minimum of fifteen-percent (15%) of Solutions Provider’s revenue derives from Pre-Sales Consulting Services fees for End User technology implementations. • Geographic Presence. Have sales and technical resources dedicated to a Solutions Provider office location within Two Hundred (200) mile radius of End User location. (See Paragraph 3(b)(Sales Territory) above)
Sales Assistance. If Remedent is contacted by any Person seeking to acquire GlamSmile Veneer Products in the Territory and within the B2C Market or GlamSmile Veneer Products bearing the “Glamsmile” name and xxxx in the Territory, Remedent shall refer such sales lead promptly to GlamSmile.
Sales Assistance. Dedicated Elo regional field sales representatives will be available to support Participant in developing and closing sales opportunities, including participation in customer meetings, joint visits to end users and other sales support activities as deemed appropriate by Elo.
Sales Assistance. Company may request Tenable’s assistance in marketing the Products in accordance with this Agreement, including the provision of sales promotion aids other than the marketing materials provided pursuant to this Agreement. Tenable may provide such assistance in its sole discretion. Company and its representatives shall not make any representations, promises or claims in connection with the Products other than those set forth in such sales promotion aids or other materials provided by Tenable to Company. If Tenable provides marketing development or other funds to assist Company in promoting the Products, Company agrees to any applicable terms and conditions associated with the receipt of such funds.
Sales Assistance. In event the Distributor desires to utilize the service of a third party of any kind in the territory, the Distributor shall so advise Company, furnished full details concerning the entity and services to be rendered by the entity, the same names of the principal of said entity and, if it is a corporation, the names of its shareholders directors, and officers. If Company gives it consent to the Distributor’s use of such third party; the Distributor shall in its agreement with said party obtain the same undertakings, which the Distributor gives to Company under this Agreement. Any compensation payable to said party shall be payable by the Distributor.
Sales Assistance. At its discretion, each party may (i) provide limited sales assistance to the other party in helping to close sales opportunities with prospective clients, and (ii) make available to the other party sales and marketing information that it deems appropriate to help close sales opportunities. The parties agree that in certain circumstances set forth in Exhibit A, one party shall pay the other party a sales assistance fee in consideration of the assisting party's efforts in closing a sales opportunity. In addition, the party requesting sales assistance shall pay the out-of-pocket expenses of the party providing such assistance.
Sales Assistance. In the event that SCPG decides to sell any Class B Shares it elects to acquire in the Offering and any Class B Shares it purchases subsequent to the Offering after the expiration of the Lock-up Period, at SCPG's request, Security Capital will make available Security Capital Markets Group Incorporated ("Capital Markets Group") to assist SCPG in any such sale. Such assistance will be available on customary terms and arrangements subject to agreement of the parties. SCPG acknowledges that Capital Markets Group is a restricted broker-dealer and member of the National Association of Securities Dealers, Inc. that, among other restrictions, cannot hold securities or funds for customers' accounts and cannot participate in a firm underwritten offering. Upon request of SCPG, Security Capital will make all appropriate information available at such locations to be mutually agreed upon and, if necessary in the reasonable judgment of SCPG, will make its executive officers available at Security Capital's principal executive offices at times to be mutually agreed upon to discuss the affairs of Security Capital with SCPG and any potential purchasers of the Class B Shares owned by SCPG.
Sales Assistance. Upon mutual agreement, WorkWise agrees to provide Reseller with reasonable sales assistance, which may include assistance with sales presentations, proposal responses, reporting, and partnership information management.
