Contractor tasks shall be completed by September 30, 2020.
SCOPE OF SERVICES TO BE PROVIDED BY CONTRACTOR. 3.1 Services to be Provided by Contractor During Term of this Contract, Contractor shall provide the Collection Services in accordance with the terms of this Contract, and the right to provide the Collection Services, and if requested, the right to provide Residential Recovered Materials Collection Service and Collection of Yard Trimmings in the designated Service Area. Such rights shall be exclusive to the Contractor and no other person or entity except the Contractor may offer or provide the Collection Services, Residential Recovered Materials Collection Service, or Collection of Yard Trimmings in the designated Service Area. The County further agrees that so long as Contractor is not in default hereunder, it will not enter into any agreement with any other entity for performance of the Collection Services, Residential Recovered Materials Collection Service, or Collection of Yard Trimmings in the designated Service Area as contemplated hereby during the Term hereof. The Contractor may charge extra, in addition to the Service Fee, for providing Yard Trimmings Collection service, and may, but is not required, to offer the service or Residential Recovered Materials Collection Service, on a different day of the week than the other Collection services. Non-Curbside Collection must also be offered to Disabled Persons requesting such service; provided however, Non-curbside Collection is available only if all adult persons residing in the Service Unit are also Disabled Persons who have obtained a physician’s certificates certifying such disability. Non-Curbside Collection is not available for Collection of Yard Trimmings, Bulky Waste, and/or White Goods. Collection of Residential Municipal Solid Waste shall be mandatory for all Service Units in the designated Service Area and such Service Units shall be required by the County to use the Collection Services offered by Contractor. Accordingly, the Contractor shall provide Collection Services within this Service Area as described below:

SCOPE OF SERVICES TO BE PROVIDED BY CONTRACTOR. The Contractor shall provide professional security consulting services that include the evaluation and assessment of existing facility infrastructure, procedures, design and integration of physical security systems. The focus of the Security Assessment is to record and assess the existing security measures, provide recommendations regarding improvements, and develop base (limited to systems defined in Phase II, (2) Electronic Defenses below) specifications for bidding by qualified security vendors, and to prepare a short term and long-term implementation plan. Firm must deliver a comprehensive security risk and vulnerability report to be utilized by Nueces County to address security risks and conduct internal periodic reviews. The security assessment will not include the review of Nueces County Information Technology system security network. The Security Assessment will be conducted in several phases. The Scope of Services for each phase is as follows: Phase I Review and document the existing security systems and practices currently being utilized by Nueces County at the Nueces County Courthouse. Perform site visits to the Nueces County Courthouse complex in order to evaluate the existing security infrastructure, personnel, and technology. Interview key staff members regarding daily operation and security procedures. Phase I must include the completion of the following tasks:

SCOPE OF SERVICES TO BE PROVIDED BY CONTRACTOR. Contractor Scope of Work is set out in Exhibit A herein attached and incorporated in its entirety. Contractor represents that it will perform its services under the Agreement in conformance with the care and skill ordinarily exercised by similar members of the profession providing similar services, practicing under similar conditions at the same time and in the same or similar locality. No other warranty of any kind, expressed or implied, at common law or created by statute, is extended, made, or intended by the rendition of Contractor’s services under the Agreement.

  • Services to be Performed Subject always to the supervision of Manager and the Trust’s Board of Trustees (the “Board”), Sub-Adviser will furnish an investment program in respect of, make investment decisions for, and place all orders for the purchase and sale of securities for the portion of each Fund’s investment portfolio allocated by Manager to Sub-Adviser. In the performance of its duties, Sub-Adviser will satisfy its fiduciary duties to the Trust, will monitor each Fund’s investments, and will comply with the provisions of the Trust’s Declaration of Trust and By-laws, each as amended from time to time (the “Trust Documents”), and the stated investment objectives, policies and restrictions of each Fund. Manager will provide Sub-Adviser with current copies of the Trust Documents, each Fund’s prospectus and Statement of Additional Information and any amendments thereto, and any objectives, policies or restrictions not appearing therein as they may be relevant to Sub-Adviser’s performance under this Agreement. Sub-Adviser and Manager will each make its officers and employees available to the other from time to time at reasonable times to review investment policies of each Fund and to consult with each other regarding the investment affairs of each Fund. Sub-Adviser will report to Manager and the Board with respect to the implementation of its investment program for each Fund. Sub-Adviser is authorized to select the brokers or dealers that will execute the purchases and sales of portfolio securities for each Fund, and is directed to use its best efforts to obtain best execution, which includes most favorable net results and execution of each Fund’s orders, taking into account all appropriate factors, including price, dealer spread or commission, size and difficulty of the transaction and research or other services provided. It is understood that Sub-Adviser will not be deemed to have acted unlawfully, or to have breached a fiduciary duty to the Trust or the Funds, or be in breach of any obligation owing to the Trust or the Funds under this Agreement, or otherwise, solely by reason of its having caused a Fund to pay a member of a securities exchange, a broker or a dealer a commission for effecting a securities transaction for a Fund in excess of the amount of commission another member of an exchange, broker or dealer would have charged if Sub-Adviser determined in good faith that the commission paid was reasonable in relation to the brokerage or research services provided by such member, broker or dealer, viewed in terms of that particular transaction or Sub-Adviser’s overall responsibilities with respect to its accounts, including the Funds, as to which it exercises investment discretion. In addition, if in the judgment of Sub-Adviser, a Fund would be benefited by supplemental services, Sub-Adviser is authorized to pay spreads or commissions to brokers or dealers furnishing such services in excess of spreads or commissions which another broker or dealer may charge for the same transaction, provided that Sub-Adviser determines in good faith that the commission or spread paid is reasonable in relation to the services provided. Sub-Adviser will properly communicate to the officers and trustees of the Trust such information relating to transactions for each Fund as they may reasonably request. In no instance will portfolio securities be purchased from or sold to Manager, Sub-Adviser or any affiliated person of the Trust, Manager or Sub-Adviser, except as may be permitted under the 1940 Act, and under no circumstances will Sub-Adviser select brokers or dealers for Fund transactions on the basis of Fund share sales by such brokers or dealers. Sub-Adviser further agrees that it:

  • Scope of Services The specific scope of work for each job shall be determined in advance and in writing between TIPS Member, Member’s design professionals and Vendor. It is permitted for the TIPS Member to provide a general scope description, but the awarded vendor should provide a written scope of work, and if applicable, according to the TIPS Member’s design Professional as part of the proposal. Once the scope of the job is agreed to, the TIPS Member will issue a PO and/or an Agreement or Contract with the Job Order Contract Proposal referenced or as an attachment along with bond and any other special provisions agreed by the TIPS Member. If special terms and conditions other than those covered within this solicitation and awarded Agreements are required, they will be attached to the PO and/or an Agreement or Contract and shall take precedence over those in this base TIPS Vendor Agreement.
