SERVICES TO BE PROVIDED BY CONSULTANT. 1.1 In compliance with all of the terms and conditions of this Agreement, CONSULTANT shall provide to ANAHEIM all labor, materials, tools, equipment, services, and incidental and customary work necessary to fully and adequately supply the professional consulting services necessary for the Services when required by ANAHEIM. The Services are more particularly described in the General Scope of Work attached hereto as Exhibit A and incorporated herein by this reference (“General Scope of Work”). In addition to the General Scope of Work, the Services will also be described in a Request for Work Order Proposal (“RFWOP”) and in a Notice to Proceed, as described in Section 1.4. ANAHEIM may elect to delete certain tasks of the General Scope of Work or the RFWOP at its sole discretion. The Services will not be performed by the CONSULTANT until ANAHEIM selects CONSULTANT in accordance with this Section 1. If selected, CONSULTANT shall perform the Services as directed by ANAHEIM and in accordance with the RFWOP, the Notice to Proceed, and this Agreement. By entering into this Agreement, ANAHEIM does not guarantee CONSULTANT that ANAHEIM will select CONSULTANT to provide any Services under this Agreement.
1.2 When the Services are required, ANAHEIM will issue an RFWOP in writing or electronically for the project-specific Services, including a specific scope of work, schedule for completion of the Services, task specifications, name of the Project Administrator, and other data specific to that RFWOP. CONSULTANT shall submit, within the time stated in the RFWOP, a sealed Work Order Proposal (“Work Order Proposal”) indicating the cost, task completion schedule, and other information requested in that RFWOP. CONSULTANT shall submit an electronic sealed Work Order Proposal when it is required by the RFWOP, and CONSULTANT shall abide by all RFWOP electronic proposal requirements.
1.3 For any RFWOP with an anticipated fee : (i) under $50,000, ANAHEIM will send, in writing or electronically, the RFWOP to one (1) pre-qualified consultant, which may or may not include CONSULTANT; (ii) of $50,000 to $150,000, ANAHEIM will send, in writing or electronically, the RFWOP to up to three (3) pre-qualified consultants, which may or may not include CONSULTANT; (iii) of $150,000 and up to $250,00, ANAHEIM will send, in writing or electronically, the RFWOP to up to five (5) pre-qualified consultants, which may or may not include CONSULTANT. ANAHEIM does not give any guarantee to CONSULTANT...
SERVICES TO BE PROVIDED BY CONSULTANT. In consideration of the payments hereinafter set forth, Consultant shall provide services described in Exhibit A, Scope of Work attached hereto (the “Services”). In the performance of its services, Consultant represents that it has and will exercise the degree of professional care, skill, efficiency, and judgment of consultants with special expertise in providing such services, and Consultant represents that it carries and will maintain all applicable licenses, certificates, and registrations needed for the work in current and good standing.

SERVICES TO BE PROVIDED BY CONSULTANT. In consideration of the payments hereinafter set forth, Consultant agrees to perform the services described in Exhibit B, attached hereto (the “Scope of Work”).
SERVICES TO BE PROVIDED BY CONSULTANT. During the Term, Consultant shall provide services to the Company as set forth on Exhibit A, as well as any other services that are mutually agreed between the parties hereto (collectively, the “Services”). The parties hereto acknowledge and agree that the Services to be provided are in the nature of advisory services only, and Consultant shall have no responsibility or obligation for execution of the Company’s business or any aspect thereof nor shall Consultant have any ability to obligate or bind the Company in any respect. Consultant shall have control over the time, method and manner of performing the Services. Consultant shall render such services as are from time to time requested by the Company’s management.
SERVICES TO BE PROVIDED BY CONSULTANT. This is an appendix attached to, and made a part of and incorporated by reference with Agreement dated , between the County of Alameda (“County”) and [FIRM NAME] (“Consultant”), providing for professional services.
SERVICES TO BE PROVIDED BY CONSULTANT. CONSULTANT shall provide to ANAHEIM the labor, materials, tools, equipment, services, and incidental and customary work necessary to fully and adequately provide the following services, as further detailed in the scope of services attached as Exhibit A:
a) Strategic advocacy with key members of the Administration, Legislature, and state agencies to ensure that funding guidelines developed by the Legislature and agencies are created in such a manner that ensures that ANAHEIM projects will be in the most competitive position possible to receive funding.
b) Research and outreach to key members of the Administration, Legislature, and state agencies to identify and analyze funding programs that will benefit ANAHEIM and specific priority projects identified by ANAHEIM.
SERVICES TO BE PROVIDED BY CONSULTANT. CONSULTANT shall provide to ANAHEIM the labor, materials, tools, equipment, services, and incidental and customary work necessary to fully and adequately provide the following services:
1.1. CONSULTANT shall develop and present EMS-related education programs and materials compliant with AF&R's continuing education program and the Orange County EMS Agency policies and procedures.
1.1.1 Education programs and material may be developed by the ANAHEIM and CONSULTANT will be relied upon to present said programs and materials;
1.1.2 CONSULTANT may be called upon by ANAHEIM to develop education programs and materials. In these instances, ANAHEIM must approve any program and materials before they are to be presented;
1.1.3 Any material costs for presentations will be covered by ANAHEIM with pre-approval.
1.2. CONSULTANT shall participate in the provision of basic EMT and paramedic training programs.
1.3. CONSULTANT shall assist in the development and implementation of CQI programs.
1.4. CONSULTANT shall participate in field observation ride-alongs for the purpose of education and training needs analyses.
1.5. CONSULTANT shall establish classes and CQI service programs in accordance with schedules approved by ANAHEIM.
1.5.1 Routine class schedules are a minimum of four (4) hours in duration with a minimum of two (2) classes per scheduled class day.
SERVICES TO BE PROVIDED BY CONSULTANT. Consultant agrees to provide services consistent with the scope of work contained in Exhibit A (the “Services”) and at hourly rates contained in Exhibit B.
SERVICES TO BE PROVIDED BY CONSULTANT. (a) Consultant will provide financial services and consultation to Client through December 1997 as requested by the Client in consideration of the compensation provided under this Agreement.
(b) Consultant shall further exercise its best efforts to identify and evaluate appropriate acquisitions and/or merger partners to develop the Client's business plan and corporate structure and to consult on specific computer related issues.
