Selection of operations. (1) Operations selected under a cross-border cooperation programme shall deliver clear cross-border impacts and benefits. (2) Operations under cross-border cooperation programmes shall be selected by the contracting authority through calls for proposals covering the whole eligible area. (3) Participating countries may also identify operations outside call for proposals. In that event, the operations shall be specifically mentioned in the cross-border cooperation programme referred to in Article 68. (4) Operations selected for cross-border cooperation shall involve beneficiaries from at least two participating countries. Beneficiaries shall cooperate in the development and implementation of operations. In addition, they shall cooperate in either the staffing or the financing of operations or both. (5) An operation may be implemented in a single participating country, provided that cross-border impacts and benefits are identified.

Selection of operations. Operations under the Programme shall be selected by the monitoring committee. The monitoring committee may set up a steering committee acting under its responsibility for the selection of operations. Selected operations shall involve beneficiaries from at least two participating countries, at least one of which shall be from a Member State. An operation may be implemented in a single participating country, provided that transnational impacts and benefits are identified. However, the participating Member States may decide in the monitoring committee one of the following, unless already otherwise agreed upon in the Programme: operations subject to a given call for proposals may not involve beneficiaries from the ENI partner country until the ENI partner country has concluded the Financing Agreement; or Commission Implementing Regulation (EU) 2015/207 of 20 January 2015 laying down detailed rules implementing Regulation (EU) No 1303/2013 of the European Parliament and of the Council as regards the models for the progress report, submission of the information on a major project, the joint action plan, the implementation reports for the Investment for growth and jobs goal, the management declaration, the audit strategy, the audit opinion and the annual control report and the methodology for carrying out the cost- benefit analysis and pursuant to Regulation (EU) No 1299/2013 of the European Parliament and of the Council as regards the model for the implementation reports for the European territorial cooperation goal, OJ L 38, 13.2.2015, p. 1. beneficiaries from the ENI partner country may only participate in a given call for proposals provided that the ENI partner country has concluded this Financing Agreement by a given deadline; or the managing authority may postpone the signing of the grant document in terms of Article 14(7) until the ENI partner country has concluded this Financing Agreement by a given deadline; or the managing authority may sign the grant document in terms of Article 14(7) while adding a condition with regard to the validity of the signature which refers to the date when the ENI partner country has concluded this Financing Agreement. Beneficiaries shall cooperate in the development and implementation of operations. In addition, they shall cooperate in either the staffing or the financing of operations.
Selection of operations. (1) Operations selected for cross-border program memes shall include final beneficiaries from at least two participating co- untries which shall co-operate in at least one of the following ways for each operation: joint development, joint implemen- tation, joint staffing and joint financing. (2) For cross-border programmes... operations selected shall in- clude beneficiaries for at least one of the participating Member States and one of the participating beneficiary countries.

  • Continuity of Operations Engage in any business activities substantially different than those in which Borrower is presently engaged, (2) cease operations, liquidate, merge, transfer, acquire or consolidate with any other entity, change its name, dissolve or transfer or sell Collateral out of the ordinary course of business, or (3) pay any dividends on Borrower's stock (other than dividends payable in its stock), provided, however that notwithstanding the foregoing, but only so long as no Event of Default has occurred and is continuing or would result from the payment of dividends, if Borrower is a "Subchapter S Corporation" (as defined in the Internal Revenue Code of 1986, as amended), Borrower may pay cash dividends on its stock to its shareholders from time to time in amounts necessary to enable the shareholders to pay income taxes and make estimated income tax payments to satisfy their liabilities under federal and state law which arise solely from their status as Shareholders of a Subchapter S Corporation because of their ownership of shares of Borrower's stock, or purchase or retire any of Borrower's outstanding shares or alter or amend Borrower's capital structure.

  • Control of Operations Without in any way limiting any party’s rights or obligations under this Agreement, the parties understand and agree that (a) nothing contained in this Agreement shall give Parent or the Company, directly or indirectly, the right to control or direct the other party’s operations prior to the Effective Time and (b) prior to the Effective Time, each of the Company and Parent shall exercise, consistent with the terms and conditions of this Agreement, complete control and supervision over its operations.

Pursuant to Section 5-65 of the Act, discontinuance by the Company of operations at the Project during the term of this Agreement with the intent to terminate operations in the State of Illinois shall result in all Credits taken by the Company being deemed Wrongfully Exempted Illinois State Income Taxes and shall subject said Wrongfully Exempted Illinois State Income Taxes to the forfeiture provisions of Section VIII.D hereof.
