Service Provision 1. 1.1 The Consultancy will provide the services promptly, efficiently and professionally, using its own skill and expertise and as it sees fit, subject only to such legitimate requests of the Client as enable the Consultancy to provide the services. 1.1.2 The Consultancy shall undertake not to import any software onto the systems of the Client without the prior written consent of the Client. 1.1.3 The Consultancy agrees to perform the Consultancy Services and to conduct itself with all proper skill and care, in a professional manner, and in accordance with industry standards, methodologies, and guidelines. 1.1.4 To observe any statutory or other reasonable rules or obligations as may be applicable in the country where the Services are to be delivered including but not limited to those relating to health and safety during the Project to the extent that they are reasonably applicable to independent contractors while performing the services and to take all reasonable steps to safeguard its own safety, the safety of the Nominated Consultant and the safety of any other person who may be affected by its actions during the Project. 1.1.5 Not to sub-contract to any third party any of the Consultancy Services which it is required to perform under this Agreement except in accordance with clause10. 1.1.6 To notify Bright Purple Resourcing forthwith in writing if it should become insolvent, dissolved or subject to a winding up petition. 1.2

Service Provision 1. The Supplier and its personnel assigned to the Government facility agree to: (iv) perform the Service in accordance with the statement of work set out in this appendix and appendix 2. (v) obtain all the necessary daily records for the Service to be completed during the week and provide copies to the Government’s representative. (vi) be and remain solely responsible for all employee benefits and deductions, including but not limited to: wages, health benefits, vacation or other leave, insurances, bonus, uniforms, etc. for all persons providing Service on your behalf. All Supplier employees may be required to wear a photo identification card to be supplied by you.

All services related to such transition shall be performed at no additional cost beyond what would be paid for the Services in this Contract.

  • Duration of Services Any individual Service in this Section B shall terminate upon the earliest to occur of (a) 9 months following the Distribution, (b) five days following written notice of termination of such Services by Spinco to GGP and (c) the applicable termination date pursuant to Article IX of the Agreement. GGP agrees to use appropriate and reasonable efforts, as mutually agreed upon by the parties and at Spinco’s cost, to ensure that any terminated Service is integrated into Spinco’s broader business processes.

  • Service Period The Service Period of this Agreement is for 1 year in respect of the unit and starts on the Start Date as defined in the Terms and Conditions, or, in the case of an extension of renewal of the provision of Support Services, starts on the date of payment of the Charges.
